This Purchase Order is issued by Quantum Analytics Sdn. All deliverables must comply with the standards set forth by the Malaysian Mathematical Society and the relevant regulatory guidelines issued by Bank Negara Malaysia where applicable to financial modelling.

- This Purchase Order is payable in Malaysian Ringgit (MYR) via bank transfer to the account designated by the Mathematician as stated in Annexure B. All payments are subject to the Buyer's standard invoice verification process.
- Payment shall be made in three (3) instalments: 30% upon execution of this Purchase Order, 40% upon delivery and acceptance of all project deliverables (Ref 01, 02, 05), and 30% upon completion of all remaining services (Ref 03, 04, 06).
- All invoices must be submitted to the Buyer's Accounts Payable department at the Malaysia Kuala Lumpur office no later than five (5) business days following the milestone date. Late submissions may result in payment deferral to the next available cycle.
- A late payment penalty of 2% per month (or the maximum rate permitted under Malaysian law, whichever is lower) shall apply to any outstanding balance exceeding the Net 30-day payment window specified in this Purchase Order.
- The Mathematician is responsible for all applicable taxes, including Service Tax (SST) as mandated by the Royal Malaysian Customs Department, and shall provide a valid tax invoice with each payment request.
- This Purchase Order constitutes a binding agreement between the Buyer and the Mathematician upon signature by both parties. All work shall be performed in accordance with the laws of Malaysia, including the Contracts Act 1950 and the Personal Data Protection Act 2010 (PDPA).
- The Mathematician warrants that all mathematical work, proofs, algorithms, and documentation delivered under this Purchase Order shall be original, free from intellectual property infringement, and shall not incorporate any third-party proprietary material without prior written consent from the Buyer.
- All intellectual property, including but not limited to mathematical theorems, proofs, code, models, and written reports produced in the course of this engagement, shall vest exclusively in the Buyer upon full payment. The Mathematician retains the right to reference the engagement in academic publications only with the Buyer's prior written approval.
- The Mathematician shall maintain strict confidentiality regarding all proprietary data, algorithms, and business strategies of the Buyer. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- All on-site work sessions (Ref 04) shall be conducted at the Buyer's premises in Malaysia Kuala Lumpur during standard business hours (Monday to Friday, 9:00 AM to 6:00 PM MYT). The Buyer shall provide reasonable workspace, computing facilities, and access to relevant documentation.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and deliverables accepted up to the date of termination. The Mathematician shall return all Buyer-confidential materials within seven (7) days of termination.
- Any disputes arising from this Purchase Order shall be resolved through mediation in Malaysia Kuala Lumpur in accordance with the rules of the Asian International Arbitration Centre (AIAC). If mediation fails, the matter shall be referred to arbitration seated in Kuala Lumpur, Malaysia, under the AIAC Arbitration Rules. The governing law shall be the law of Malaysia.
- The Mathematician shall carry professional indemnity insurance with a minimum coverage of MYR 1,000,000 for the duration of this engagement and shall provide a certificate of insurance upon request.
- This Purchase Order may not be assigned or subcontracted by the Mathematician without the prior written consent of the Buyer. All services must be personally performed by the named Mathematician or under their direct supervision.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Mathematician in Malaysia Kuala Lumpur.
