- This Purchase Order constitutes a binding agreement between the Atlas Scientific Research Institute (hereinafter “the Buyer”) and the named Mathematician, Dr. Youssef El Amrani (hereinafter “the Vendor”), for the provision of professional mathematical services to be performed primarily at the Buyer’s facility in Morocco Casablanca.
- The Mathematician shall comply with all applicable Moroccan labour regulations, data protection laws (Law 09-08), and institutional policies of the Atlas Scientific Research Institute throughout the duration of this Purchase Order.
- All intellectual property, mathematical proofs, algorithms, and research outputs generated by the Mathematician in the course of fulfilling this Purchase Order shall be the exclusive property of the Buyer, unless otherwise agreed in a separate written addendum.
- Payment shall be processed in Moroccan Dirhams (MAD) via bank transfer to the account designated by the Mathematician. Invoices must be submitted to the procurement department in Morocco Casablanca no later than the 5th business day of each month for services rendered in the preceding month.
- The Mathematician is required to submit a detailed progress report to the Director of Research at the end of each quarter. Failure to deliver reports within ten (10) business days of the quarter-end date may result in a 5% deduction from the corresponding payment tranche under this Purchase Order.
- This Purchase Order may be terminated by either party with thirty (30) days’ written notice. In the event of early termination, the Buyer shall compensate the Mathematician for all services rendered up to the effective date of termination, prorated on a monthly basis.
- The Mathematician shall maintain professional liability insurance with a minimum coverage of 2,000,000 MAD, valid for the entire term of this Purchase Order, and shall provide a certificate of insurance upon request.
- All disputes arising from or in connection with this Purchase Order shall be resolved through amicable negotiation. Should negotiation fail within sixty (60) days, the matter shall be submitted to the competent commercial court of Casablanca, Morocco, in accordance with Moroccan law.
- The Mathematician agrees to a non-compete clause for a period of twelve (12) months following the expiration or termination of this Purchase Order, within a 50-kilometre radius of the Morocco Casablanca facility, with respect to the specific research project referenced herein.
- This Purchase Order is valid for ninety (90) days from the date of issue. If not accepted and signed by the Mathematician within this period, the Buyer reserves the right to void this Purchase Order without prior notice.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Mathematician in Morocco Casablanca.
