This Purchase Order is issued by the Himalayan Applied Sciences Institute to formally engage the services of a qualified Mathematician for a period of six (6) months, commencing 1 July 2025 and concluding 31 December 2025. The engagement is to be carried out primarily at the Institute's research campus located in Nepal Kathmandu, with the possibility of remote collaboration as mutually agreed upon by both parties.

The scope of work under this Purchase Order includes, but is not limited to, the following deliverables:

• All payments under this Purchase Order shall be made in Nepalese Rupees (NPR) via bank transfer to the account designated by the Mathematician.
• Payment shall be disbursed in six (6) equal monthly installments of NPR 379,166.67, due on the 5th business day of each month following the completion of the corresponding work period.
• A 10% retention of each monthly installment shall be withheld by the Buyer and released in full upon satisfactory completion and acceptance of the final technical report.
• All applicable taxes, including Value Added Tax (VAT) at the prevailing rate in Nepal, shall be borne by the Buyer as per the terms of this Purchase Order.
• Any additional services requested beyond the scope defined herein shall require a written amendment to this Purchase Order signed by both parties before work commences.

• The Mathematician shall devote a minimum of thirty (30) working hours per week to the services described in this Purchase Order and shall maintain professional confidentiality regarding all data, models, and proprietary information of the Himalayan Applied Sciences Institute.
• The Mathematician shall conduct all on-site work at the Institute's premises in Nepal Kathmandu and shall comply with all institutional safety, security, and intellectual property policies in effect during the engagement period.
• All mathematical models, code, datasets, and written reports produced under this Purchase Order shall be the exclusive intellectual property of the Buyer, unless otherwise stated in a separate written agreement.
• The Buyer shall provide the Mathematician with reasonable office space, computing resources, access to relevant datasets, and administrative support necessary to perform the services at the Kathmandu campus.
• Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Mathematician for all services rendered up to the effective date of termination.
• This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Nepal, and any disputes arising hereunder shall be resolved through arbitration in Kathmandu, Nepal, in accordance with the Arbitration Act of Nepal.
• The Mathematician warrants that all work delivered shall be original, free from plagiarism, and shall meet the academic and professional standards expected of a senior mathematician in the field of applied mathematics.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of a Mathematician in Nepal Kathmandu. This document constitutes a binding agreement between the parties from the date of the last signature.
