3. Scope of Services — Mathematician Engagement

This Purchase Order is issued by the Amsterdam Applied Sciences Consortium B.V. to formally engage the above-named Mathematician for the provision of specialized mathematical consulting services to be performed in and around Netherlands Amsterdam. 5. Terms and Conditions

Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from this Purchase Order relating to the Mathematician's services in Netherlands Amsterdam shall be subject to the exclusive jurisdiction of the District Court of Amsterdam.
Payment Terms: Payment of the total amount specified in this Purchase Order shall be made within thirty (30) calendar days of receipt of a valid invoice from the Mathematician. Payment shall be made via bank transfer to the account designated by the Mathematician. Late payments shall accrue interest at the statutory Dutch rate.
Intellectual Property: All mathematical proofs, algorithms, models, and written analyses produced by the Mathematician under this Purchase Order shall become the exclusive property of the Amsterdam Applied Sciences Consortium B.V. upon full payment. The Mathematician retains the right to reference the work in academic publications with prior written consent.
Confidentiality: The Mathematician agrees to maintain strict confidentiality regarding all proprietary data, research findings, and internal documents accessed during the performance of services in Netherlands Amsterdam. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
Performance Standards: The Mathematician shall perform all services with the degree of skill, care, and diligence expected of a senior academic mathematician in the Netherlands. All deliverables must meet the quality standards outlined in the attached Statement of Work.
Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Mathematician shall be compensated for all services rendered up to the date of termination, and the Consortium shall be compensated for any prepaid amounts corresponding to unperformed services.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to natural disasters, government mandates affecting operations in Netherlands Amsterdam, or pandemics.
Compliance: The Mathematician warrants that all services provided under this Purchase Order comply with applicable Dutch and European Union regulations, including but not limited to the General Data Protection Regulation (GDPR) and the Dutch Civil Code (Burgerlijk Wetboek).

6. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Mathematician in Netherlands Amsterdam. This document constitutes a binding agreement upon execution by both authorized representatives.
