3. Scope of Work and Line ItemsThis Purchase Order is issued by Lagos Advanced Research & Analytics Institute to procure the professional services of a qualified Mathematician, Prof. Chinedu Eze, Ph.D., for the purpose of advanced mathematical modelling, statistical analysis, and quantitative research support. The Mathematician shall render all services physically at the Buyer's premises located in Nigeria Lagos, Victoria Island, unless otherwise agreed in writing. The scope of engagement is detailed in the following line items:

- Acceptance: This Purchase Order shall become binding upon written acceptance by the Mathematician, Prof. Chinedu Eze, within seven (7) calendar days of the date of issue. Failure to respond within this period shall be construed as rejection of this Purchase Order.
- Performance Location: All on-site services, including the training workshop and any in-person consultations, shall be conducted at the Buyer's facility in Nigeria Lagos, Victoria Island. The Buyer shall provide a suitable workspace, access to computing resources, and reasonable refreshments during working hours.
- Intellectual Property: All mathematical models, algorithms, code, reports, and analytical outputs produced by the Mathematician under this Purchase Order shall be the exclusive property of Lagos Advanced Research & Analytics Institute. The Mathematician retains the right to reference the engagement in academic publications, subject to a 90-day embargo period and prior written approval from the Buyer.
- Confidentiality: The Mathematician agrees to maintain strict confidentiality regarding all data, proprietary information, and internal documents of the Buyer encountered during the course of this engagement. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Payment Schedule: Payment shall be made in two (2) instalments: fifty percent (50%) upon successful completion and acceptance of Line Items 01 through 03, and the remaining fifty percent (50%) upon completion of Line Items 04 and 05. Payment shall be processed via bank transfer to the account designated by the Mathematician, in Nigerian Naira, within thirty (30) days of receipt of a valid tax invoice.
- Quality Assurance: The Buyer reserves the right to request revisions to any deliverable within fourteen (14) days of initial submission. The Mathematician shall incorporate reasonable revisions at no additional cost. Deliverables that fail to meet the agreed mathematical standards after two (2) revision cycles may be subject to a proportional reduction in the corresponding line item value.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Buyer shall pay for all services satisfactorily rendered up to the date of termination. The Mathematician shall deliver all work-in-progress materials to the Buyer within seven (7) days of the termination notice.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria, with the seat of arbitration in Nigeria Lagos.
- Compliance: The Mathematician warrants that all services rendered under this Purchase Order shall comply with applicable Nigerian laws, including the Nigeria Data Protection Regulation (NDPR) 2019, the Companies and Allied Matters Act (CAMA) 2020, and all relevant professional standards set by the Nigerian Society of Engineers and the Mathematical Association of Nigeria.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns in Nigeria Lagos, or acts of war. The affected party shall notify the other within forty-eight (48) hours of the occurrence.
By signing below, the parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Mathematician services in Nigeria Lagos.
