This Purchase Order is issued to formally engage the services of a qualified Mathematician to provide specialized professional support to the Instituto de Investigaciones Científicas del Pacífico S.A.C. The Mathematician shall perform the following duties and deliverables:

Payment for the services rendered under this Purchase Order shall be made in accordance with the following schedule and conditions, in compliance with the tax regulations of the Republic of Peru as administered by the Superintendencia Nacional de Aduanas y de Administración Tributaria (SUNAT) in Peru Lima:

• Payments shall be issued on a monthly basis, within fifteen (15) calendar days following the receipt of a valid invoice (factura) issued by the Mathematician.
• All payments shall be made via bank transfer to the account designated by the Mathematician, held at a financial institution operating in Peru Lima.
• The monthly payment amount shall be PEN 20,916.67, representing one-twelfth of the total contract value, adjusted for any additional approved services.
• Applicable Peruvian taxes, including Impuesto General a las Ventas (IGV) at 18% and any withholding tax (retención) as mandated by Peruvian law, shall be deducted at source where applicable.
• Late payments shall accrue interest at the rate established by the Banco Central de Reserva del Perú (BCRP) for the corresponding period.

• 6.1 This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Mathematician for the duration specified herein. Both parties acknowledge that this document is governed by the Civil Code of Peru and applicable commercial regulations in force in Peru Lima.
• 6.2 The Mathematician warrants that all deliverables, models, algorithms, and intellectual property developed under this Purchase Order shall be the exclusive property of the Purchasing Entity, unless otherwise stated in a separate written addendum.
• 6.3 The Mathematician shall maintain full professional confidentiality regarding all data, methodologies, and proprietary information accessed during the course of this engagement in Peru Lima. A separate Non-Disclosure Agreement (NDA) is attached as Annex A.
• 6.4 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Mathematician shall be compensated for all services rendered up to the effective date of termination.
• 6.5 The Mathematician shall comply with all labor, tax, and professional registration requirements of the Republic of Peru. The engagement described in this Purchase Order is classified as an independent professional service (servicio independiente) and does not constitute an employment relationship.
• 6.6 Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Peru Lima, in accordance with the rules of the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Lima.
• 6.7 This Purchase Order may be amended only by written agreement signed by both parties. Verbal modifications shall have no legal effect.
