This Purchase Order (hereinafter referred to as "the PO") is issued by Moscow Applied Sciences Research Institute JSC (the "Buyer") to engage the services of Prof. Alexander Dmitrievich Volkov (hereinafter referred to as the "Mathematician" or the "Service Provider") for the provision of specialized mathematical consulting, analytical modeling, and research support services. All services under this Purchase Order shall be performed exclusively within the jurisdiction of Russia Moscow, at the Buyer's primary research facility located at 12 Leninsky Prospekt, Moscow, 119991, Russia, unless otherwise agreed in writing by both parties.
The Mathematician shall be responsible for the following deliverables and tasks as outlined in this Purchase Order:
- Development and validation of advanced stochastic differential equations for the Buyer's financial risk modeling division.
- Design of optimization algorithms for logistics and supply chain management systems operated in Russia Moscow.
- Preparation of peer-reviewed mathematical proofs and theoretical frameworks for the Buyer's ongoing grant-funded research projects.
- Conduct of weekly seminars and training sessions for the Buyer's junior research staff on advanced topics in applied mathematics, numerical analysis, and computational geometry.
- Review and technical audit of existing mathematical models currently deployed in the Buyer's operational systems.
- Preparation of a comprehensive final report summarizing all mathematical findings, recommendations, and model validations upon completion of the engagement period.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Russian Federation and all applicable federal and municipal laws of Russia Moscow. Any disputes arising from this Purchase Order shall be resolved through the Arbitration Court of the City of Moscow.
- Payment Terms: The Buyer shall remit payment in three equal installments: 40% upon execution of this Purchase Order, 35% upon completion of the midpoint deliverables (Items 1–3), and 25% upon delivery and acceptance of the final report (Item 6). All payments shall be made via bank transfer to the account specified above within fifteen (15) business days of invoice receipt.
- Performance Period: The Mathematician shall commence services on 1 July 2025 and shall complete all deliverables no later than 30 November 2025. All work shall be conducted at the Buyer's premises in Russia Moscow during standard business hours (09:00–18:00, Monday through Friday), unless a different schedule is mutually agreed upon in writing.
- Intellectual Property: All mathematical models, proofs, algorithms, reports, and documentation created by the Mathematician in the course of fulfilling this Purchase Order shall be the exclusive property of the Buyer. The Mathematician retains the right to reference the work in academic publications only with prior written consent from the Buyer.
- Confidentiality: The Mathematician agrees to maintain strict confidentiality regarding all proprietary data, research findings, and business information of the Buyer encountered during the performance of this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination at the rates specified herein.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Russia Moscow.
- Compliance: The Mathematician warrants that all services rendered under this Purchase Order shall comply with all applicable Russian federal regulations, data protection laws (Federal Law No. 152-FZ), and professional ethical standards of the mathematical sciences community in Russia.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding agreement for the engagement of the Mathematician's professional services in Russia Moscow for the duration and scope described herein.
