1. Description of Purchase Order and Scope of Services

This Purchase Order is formally issued by the Saint Petersburg State Research Academy of Applied Mathematics to engage the professional services of a qualified Mathematician for a period of six (6) months, commencing 1 July 2025 and concluding 31 December 2025. The engagement is to be carried out exclusively within the jurisdiction of Russia Saint Petersburg, at the Academy's primary research facility located on Bolshoy Moskovsky Prospekt. The Mathematician shall provide advanced mathematical consultancy, research supervision, and analytical modelling services as detailed in the line items below. This Purchase Order constitutes a binding agreement between the parties and shall be governed by the civil code of the Russian Federation applicable to the region of Russia Saint Petersburg.

3. Terms and Conditions

Place of Performance: All services described in this Purchase Order shall be rendered by the Mathematician at the physical premises of the Saint Petersburg State Research Academy of Applied Mathematics, located in Russia Saint Petersburg. Remote work is not permitted unless explicitly authorised in writing by the Procurement Director.
Payment Schedule: Payment shall be made in two equal instalments. The first instalment of 1,573,200 RUB (VAT inclusive) shall be due within fifteen (15) business days of the commencement date. The second instalment of 1,573,200 RUB shall be due within fifteen (15) business days of the completion date. Payments shall be transferred via bank wire to the account specified by the Mathematician, in accordance with the financial regulations of Russia Saint Petersburg.
Intellectual Property: All mathematical models, algorithms, software code, and research outputs produced by the Mathematician under this Purchase Order shall be the exclusive property of the Academy. The Mathematician retains the right to publish general findings in peer-reviewed journals, subject to a ninety (90) day prior review period by the Academy.
Confidentiality: The Mathematician shall maintain strict confidentiality regarding all proprietary data, unpublished research, and internal communications of the Academy. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the Mathematician shall be compensated for all services rendered up to the date of termination, calculated pro-rata.
Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Russian Federation. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the Arbitration Court of the City of Saint Petersburg, Russia Saint Petersburg.
Compliance: The Mathematician warrants that all services shall comply with applicable federal and municipal regulations of Russia Saint Petersburg, including but not limited to data protection laws, academic integrity standards, and professional licensing requirements for mathematical consultants operating within the Russian Federation.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, governmental sanctions, or public health emergencies affecting the region of Russia Saint Petersburg.

4. Acceptance and Authorisation

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. The Mathematician confirms acceptance of the scope of work, compensation structure, and professional obligations as outlined herein. The Purchasing Entity confirms the availability of funds and authorises the expenditure as detailed in this document.
