This Purchase Order formally authorises the procurement of professional services rendered by a qualified Mathematician to support the Al-Nakheel Advanced Research & Analytics Institute in Jeddah, Saudi Arabia. Payment for this Purchase Order shall be processed in accordance with the following schedule, all amounts denominated in Saudi Riyal (SAR) and remitted via bank transfer to the account of the Mathematician as specified in the contract annexure:

4.1 This Purchase Order is governed by the laws of the Kingdom of Saudi Arabia and shall be interpreted in accordance with the Saudi Civil Transactions Law and applicable commercial regulations in Jeddah.
4.2 The Mathematician warrants that all mathematical models, algorithms, and analytical outputs delivered under this Purchase Order shall be original, free from intellectual property infringement, and compliant with the data protection standards enforced by the Saudi Data and AI Authority (SDAIA).
4.3 The Mathematician shall maintain professional confidentiality regarding all proprietary data, trade secrets, and institutional information accessed during the engagement in Saudi Arabia Jeddah. A separate Non-Disclosure Agreement (NDA) is attached as Annexure B.
4.4 Any modifications, scope changes, or additional services beyond those specified in this Purchase Order must be documented in a written change order signed by both parties prior to execution.
4.5 The Mathematician shall comply with all local labour regulations, professional licensing requirements, and tax obligations applicable to independent consultants operating in Jeddah, Saudi Arabia.
4.6 Disputes arising from this Purchase Order shall be resolved through arbitration in Jeddah under the rules of the Saudi Centre for Commercial Arbitration (SCCA).
4.7 This Purchase Order becomes effective upon signature by both parties and remains valid until the completion of all listed deliverables or the date of 31 December 2025, whichever is earlier.
5. Acceptance and AuthorisationBy signing below, both parties acknowledge and agree to the terms, conditions, and scope of services defined in this Purchase Order for the engagement of the Mathematician in Jeddah, Saudi Arabia. This document constitutes a binding procurement instrument for the services described herein.
