3. Description of Goods / Services

This Purchase Order is issued by Transvaal Applied Sciences & Research Institute (TASRI) for the professional engagement of a qualified Mathematician to provide advanced quantitative analysis, mathematical modelling, and theoretical research support. The services described herein shall be rendered in and around South Africa Johannesburg, specifically at the TASRI headquarters in Sandton and the secondary research facility in Braamfontein, South Africa Johannesburg.

4. Terms and Conditions

This Purchase Order constitutes a binding agreement between TASRI and the named Mathematician upon signature by both parties. All terms are governed by the laws of the Republic of South Africa, with jurisdiction vested in the High Court of South Africa, Johannesburg Division.
The Mathematician shall commence services no later than 1 July 2025 and shall complete all deliverables by 31 December 2025, unless otherwise extended in writing by mutual agreement.
All work product, including but not limited to mathematical proofs, algorithms, source code, models, and documentation produced under this Purchase Order, shall be the exclusive intellectual property of TASRI upon full payment.
Payment shall be made in monthly instalments of ZAR 364,358.33 (inclusive of VAT), due on the 28th of each month via electronic funds transfer to the account nominated by the Mathematician. Late payments shall accrue interest at the rate of 10% per annum.
The Mathematician shall comply with all applicable South African data protection legislation (POPIA) and shall not disclose any confidential TASRI data to third parties. All on-site work shall be conducted within the premises located in South Africa Johannesburg.
The Mathematician is engaged as an independent contractor and not as an employee of TASRI. The Mathematician shall be responsible for their own tax obligations, medical aid, and professional indemnity insurance (minimum cover of ZAR 5,000,000).
Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, TASRI shall pay for all services rendered up to the date of termination, less any outstanding deliverables.
The Mathematician shall submit a detailed progress report to Dr. Naledi Mokoena on the last business day of each month, outlining completed tasks, mathematical findings, and planned activities for the following month.
All disputes arising from this Purchase Order shall first be referred to mediation in South Africa Johannesburg before any litigation is commenced.
This Purchase Order may not be assigned or subcontracted without the prior written consent of TASRI. The Mathematician shall personally perform the core mathematical work described herein.

5. Delivery and Commencement Details

Primary work location: TASRI Headquarters, 1245 Rivonia Road, Sandton, South Africa Johannesburg, 2196. Secondary work location: TASRI Research Annex, 88 Oxford Street, Braamfontein, South Africa Johannesburg, 2001. The Mathematician is expected to be on-site a minimum of three (3) days per week at the Sandton location, with the remaining days available for remote work or attendance at the Braamfonteen facility. All physical deliverables (hard copies of proofs, printed documentation) shall be delivered to the Sandton office, South Africa Johannesburg, by 16:00 on the agreed submission date.
