- Scope of Engagement: This Purchase Order constitutes a binding agreement between Barcelona Advanced Research Institute S.L. (hereinafter "the Buyer") and Dr. Marc Soler Ferrer, a qualified Mathematician registered with the Col·legi Oficial de Matemàtics de Catalunya (hereinafter "the Supplier"), for the provision of professional mathematical services as described in the line items above. All work shall be performed primarily at the Buyer's premises in Spain Barcelona unless otherwise agreed in writing.
- Intellectual Property: All mathematical models, algorithms, proofs, code, and documentation produced by the Mathematician under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Mathematician retains the right to reference the work in academic publications with prior written consent from the Buyer.
- Confidentiality: The Mathematician agrees to maintain strict confidentiality regarding all proprietary data, research findings, and internal methodologies of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Payment Schedule: Payment shall be made in three (3) equal instalments: 40% upon commencement of services (01 September 2025), 35% upon delivery of the simulation toolkit and first white paper (31 January 2026), and 25% upon final project completion and acceptance (31 August 2026). All invoices shall be issued in EUR and paid via bank transfer to the account specified by the Mathematician.
- Compliance with Spanish Law: This Purchase Order is governed by and shall be interpreted in accordance with the laws of Spain, specifically the Spanish Civil Code and applicable Catalan regional regulations. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Spain Barcelona.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date. The Mathematician shall deliver all work-in-progress materials to the Buyer within fourteen (14) days of the termination notice.
- Quality Assurance: The Mathematician warrants that all deliverables shall meet the highest standards of mathematical rigour and shall be free from fundamental errors. The Buyer reserves the right to request revisions at no additional cost if deliverables do not meet the agreed specifications.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-imposed restrictions affecting operations in Spain Barcelona.
- Anti-Corruption: The Mathematician confirms that no part of the compensation under this Purchase Order has been or will be offered as a bribe or improper inducement to any person in connection with the award of this contract.
By signing below, both parties acknowledge and agree to all terms, conditions, and line items specified in this Purchase Order for the engagement of the Mathematician in Spain Barcelona.
