- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Federal Commercial Transactions Law and the Abu Dhabi Civil Code. Any disputes arising from this Purchase Order shall be resolved through the Abu Dhabi Centre for Amicable Settlement of Disputes (ADCS) before resorting to litigation in the Abu Dhabi Courts of First Instance.
- Payment Terms: Payment for services rendered under this Purchase Order shall be made in United Arab Emirates Dirhams (AED) via bank transfer to the Mathematician's designated account at First Abu Dhabi Bank. Invoices shall be submitted bi-weekly, and payment shall be processed within fourteen (14) calendar days of invoice receipt. Late payments shall accrue interest at the rate of 2% per month as stipulated under UAE commercial practice.
- Intellectual Property: All mathematical models, proofs, algorithms, and analytical frameworks developed by the Mathematician specifically for ADARAI under this Purchase Order shall become the exclusive property of the Abu Dhabi Advanced Research & Analytics Institute upon full payment. The Mathematician retains the right to publish generalized theoretical findings, provided that no proprietary data from the United Arab Emirates, Abu Dhabi, is disclosed without written consent.
- Confidentiality: The Mathematician agrees to maintain strict confidentiality regarding all data, algorithms, and strategic information accessed during the engagement. This obligation shall survive the termination of this Purchase Order for a period of five (5) years, in compliance with the UAE Federal Decree-Law No. 46 of 2021 on the Protection of Personal Data.
- Work Location and Compliance: All on-site work shall be conducted at the ADARAI premises on Al Maryah Island, Abu Dhabi, United Arab Emirates. The Mathematician must hold a valid UAE residence visa and professional work permit. All deliverables must comply with the Abu Dhabi Information and Communication Technology Office (ADICTO) data-handling regulations.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Mathematician shall be compensated for all services rendered up to the effective date of termination, and all work-in-progress deliverables shall be handed over to ADARAI.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies declared by the United Arab Emirates Federal Government.
- Acceptance of Deliverables: All mathematical deliverables shall be subject to a ten (10) business-day review period by the ADARAI Chief Scientific Officer. Failure to raise written objections within this period shall constitute acceptance of the deliverables under this Purchase Order.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding agreement for the engagement of the Mathematician's professional services within the United Arab Emirates, Abu Dhabi, effective from the date of the last signature.
