This Purchase Order is issued by the Dubai Advanced Research & Analytics Institute (DARAI) to formally engage the services of a qualified Mathematician for the purpose of delivering specialized mathematical research, modeling, and analytical consulting services within the jurisdiction of United Arab Emirates Dubai. The Mathematician shall provide expert-level contributions in the fields of applied mathematics, stochastic modeling, numerical analysis, and optimization theory as required by the Institute's ongoing research programs and corporate advisory engagements.
The engagement of the Mathematician under this Purchase Order is governed by the Federal Decree-Law No. 50 of 2022 on Commercial Transactions of the United Arab Emirates, the Dubai Civil Code, and all applicable regulations issued by the Dubai Department of Economy and Tourism. All deliverables produced by the Mathematician shall be subject to the intellectual property provisions outlined in Section 7 of this Purchase Order.

Payment for the services rendered by the Mathematician under this Purchase Order shall be made in United Arab Emirates Dirhams (AED) via bank transfer to the account designated by the Mathematician. The payment schedule is as follows:

All on-site services, presentations, training sessions, and advisory meetings conducted by the Mathematician shall take place at the premises of the Dubai Advanced Research & Analytics Institute, Burj Khalifa, Business Bay, United Arab Emirates Dubai, unless otherwise agreed in writing. Remote consultations may be conducted via secure video conferencing at the discretion of the Institute. The Mathematician warrants that all work shall be performed in full compliance with the labor laws, professional conduct regulations, and data protection statutes of the United Arab Emirates Dubai.
- Acceptance: This Purchase Order becomes binding upon written acceptance by the Mathematician within ten (10) business days of the date of issue. Failure to respond within this period shall constitute automatic rejection of this Purchase Order.
- Quality of Work: The Mathematician guarantees that all mathematical proofs, models, algorithms, and analyses delivered under this Purchase Order shall be original, accurate, and free from material errors. Any deliverable found to contain significant mathematical inaccuracies shall be reworked at no additional cost to the Institute.
- Confidentiality: The Mathematician shall maintain strict confidentiality regarding all proprietary data, research findings, and business strategies of DARAI. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Intellectual Property: All mathematical work, models, code, and documentation created specifically for DARAI under this Purchase Order shall be the exclusive property of the Institute upon full payment. The Mathematician retains the right to publish general academic findings, provided that no proprietary DARAI data is disclosed.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Mathematician shall be compensated for all services rendered up to the date of termination, less any advance payments already received.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the Dubai International Arbitration Centre (DIAC), United Arab Emirates Dubai. The seat of arbitration shall be Dubai, UAE, and the language of proceedings shall be English.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates and the specific regulations of the Emirate of Dubai.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting United Arab Emirates Dubai.

The Mathematician confirms that they hold all necessary professional qualifications, licenses, and visas to legally perform mathematical consulting and research services within United Arab Emirates Dubai.
