- Scope and Performance: The Mathematician shall perform all services described in this Purchase Order with the highest degree of professional mathematical rigor, adhering to the standards of practice established by the American Mathematical Society and the New York State Board of Professional Engineers and Land Surveyors where applicable. All deliverables must be completed within the United States New York City metropolitan area unless otherwise specified in writing.
- Timeline: Services shall commence on or before July 1, 2025, and shall be completed no later than November 30, 2025. The Mathematician shall provide bi-weekly progress reports to the Buyer's project manager.
- Payment: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Mathematician. Invoices shall reference this Purchase Order number (PO-NYC-2025-04782). Payment shall be made via ACH transfer to the account designated by the Mathematician. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with New York State commercial law.
- Intellectual Property: All mathematical models, proofs, algorithms, code, and documentation created specifically for the Buyer under this Purchase Order shall be the sole and exclusive property of the Buyer upon full payment. The Mathematician retains the right to publish general methodological findings in peer-reviewed journals, provided that no proprietary data or confidential information of the Buyer is disclosed.
- Confidentiality: The Mathematician agrees to maintain strict confidentiality regarding all data, algorithms, and business information accessed during the performance of this Purchase Order. This obligation shall survive termination of this Purchase Order for a period of five (5) years.
- Compliance: The Mathematician warrants that all services shall be performed in compliance with all applicable laws of the State of New York, the City of New York, and the United States of America, including but not limited to the New York City Administrative Code, federal tax obligations, and professional licensing requirements.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay the Mathematician for all services rendered and expenses incurred up to the effective date of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through binding arbitration in United States New York City, in accordance with the rules of the American Arbitration Association. The governing law shall be the laws of the State of New York.
- Insurance: The Mathematician shall maintain professional liability insurance with a minimum coverage of $1,000,000 per occurrence, naming the Buyer as an additional insured, for the duration of this Purchase Order.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond reasonable control, including but not limited to natural disasters, acts of government, or public health emergencies affecting the United States New York City area.
By signing below, the parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This Purchase Order constitutes a binding agreement for the procurement of Mathematician services in the United States New York City jurisdiction.
