- Scope of Engagement: The Mathematician agrees to perform all services described in this Purchase Order exclusively within the city of Venezuela Caracas and its immediate metropolitan area. Any travel to other Venezuelan states must be pre-approved in writing by the buyer's procurement department.
- Payment Terms: Payment shall be made in three installments: 40% upon execution of this Purchase Order, 35% upon delivery of the midpoint deliverables (Items 01 and 02), and 25% upon final acceptance of all services. Payments shall be processed via bank transfer to the account designated by the Mathematician, denominated in US Dollars (USD) as permitted under Venezuelan Central Bank (BCV) exchange regulations.
- Intellectual Property: All mathematical models, algorithms, reports, and documentation produced under this Purchase Order shall be the exclusive property of the buyer. The Mathematician retains the right to reference the work in academic publications with prior written consent.
- Confidentiality: The Mathematician shall maintain strict confidentiality regarding all proprietary data, trade secrets, and internal information of the buyer. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Compliance: The Mathematician warrants that he holds all necessary professional registrations and licenses to practice mathematics as a consulting professional in Venezuela Caracas. He shall comply with all applicable laws of the Republic of Venezuela, including but not limited to the Ley de Contrataciones Públicas and the regulations of the Colegio de Ingenieros y Matemáticos de Venezuela.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall compensate the Mathematician for all services rendered up to the date of termination, plus a 10% administrative fee.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Venezuela Caracas, in accordance with the Ley de Arbitraje de Venezuela. The governing law shall be the civil and commercial law of the Republic of Venezuela.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or economic emergencies declared by the Venezuelan government.
All deliverables under this Purchase Order shall be submitted to the buyer's office at Av. Francisco de Miranda, Torre Este, Piso 14, Chacao, Caracas, Venezuela. The buyer shall have ten (10) business days from the date of submission to inspect and accept or reject each deliverable. Rejection must be accompanied by a written justification specifying the deficiencies. The Mathematician shall have five (5) business days to address any identified deficiencies at no additional cost.
This Purchase Order is hereby authorized and approved for execution. The engagement of the Mathematician under this document constitutes a binding agreement between the parties as of the date of the last signature below.
