- This Purchase Order is issued by Yarra Valley Fleet Management Pty Ltd, a company registered in the State of Victoria, Australia, and constitutes a binding offer to procure the mechanic services and automotive parts described herein.
- The Supplier, Southbank Auto Mechanic & Engineering Services, acknowledges that all work must be performed by a mechanic holding a current Victorian licence issued under the Motor Vehicles (Registration and Licensing) Regulations 2019.
- All parts supplied under this Purchase Order must be new, genuine OEM components, or approved aftermarket equivalents that meet or exceed Australian Standards. No refurbished or salvaged parts shall be accepted without prior written consent from the Buyer.
- Delivery and completion of all mechanic services shall be at the Buyer's designated depot in Richmond, Melbourne, or at the Supplier's workshop in Docklands, Melbourne, as specified per line item. The Supplier bears all risk of loss until goods and services are accepted by the Buyer in Melbourne.
- Payment shall be made via electronic funds transfer (EFT) to the Supplier's nominated Australian bank account within thirty (30) calendar days of receipt of a valid tax invoice. The tax invoice must include the Supplier's ABN, the Buyer's ABN, and a clear description of the mechanic services rendered.
- The Supplier warrants that all mechanic work performed under this Purchase Order shall be free from defects in workmanship and materials for a period of twenty-four (24) months or 50,000 kilometres (whichever occurs first), in accordance with the Australian Consumer Law (Schedule 2, Competition and Consumer Act 2010).
- Any variation to the scope of mechanic services, parts specifications, or delivery timelines must be agreed in writing by both parties and documented as an amendment to this Purchase Order.
- This Purchase Order is governed by the laws of the State of Victoria and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Victoria, with primary venue in Melbourne.
- The Supplier shall maintain comprehensive public liability insurance of no less than AUD $20,000,000 and professional indemnity insurance of no less than AUD $5,000,000 for the duration of this Purchase Order. Certificates of insurance must be provided upon request.
- All work performed in Melbourne must comply with the Occupational Health and Safety Act 2004 (Vic) and the WorkSafe Victoria regulations. The mechanic and all assisting personnel must hold valid white card (Construction Induction) where applicable and appropriate trade qualifications.
- This Purchase Order is valid for acceptance within fourteen (14) calendar days of the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
