1. Description of Purchase Order and Scope of Work

This Purchase Order is issued by Northwest Automotive Services Ltd. to Pacific Coast Mechanic & Repair Co. for the provision of professional Mechanic services and associated automotive parts. The scope of work under this Purchase Order encompasses the complete diagnostic, repair, and preventive maintenance of a fleet of twelve (12) commercial delivery vehicles currently operated by the buyer in the Canada Vancouver metropolitan area. The Mechanic engaged under this Purchase Order shall perform all work in accordance with the standards set forth by the British Columbia Motor Vehicle Act and the Canadian Automotive Service Association (CASA) guidelines. All services referenced in this Purchase Order shall be carried out at the vendor's certified workshop located in Canada Vancouver, or at the buyer's facility at 4820 West Broadway, Vancouver, as mutually agreed upon in writing prior to the commencement of work.

3. Terms and Conditions of This Purchase Order

3.1 This Purchase Order is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Vancouver in accordance with the British Columbia Arbitration Act.

3.2 The Mechanic and all assisting technicians engaged under this Purchase Order must hold valid certification from the Canadian Automotive Service Technician (C.A.S.T.) program and maintain current liability insurance with a minimum coverage of $5,000,000 CAD. Proof of certification and insurance shall be provided to the buyer prior to the commencement of any work.

3.3 All parts supplied under this Purchase Order shall be new, original equipment manufacturer (OEM) or equivalent aftermarket parts approved for use in Canada Vancouver commercial vehicle operations. No used or refurbished parts shall be installed without prior written authorization from the buyer's fleet manager.

3.4 The vendor shall complete all work specified in this Purchase Order no later than the Required Service Date stated above. In the event of delay, the vendor shall notify the buyer in writing within twenty-four (24) hours and provide a revised completion schedule. Delays exceeding five (5) business days shall entitle the buyer to a credit of 2% of the total Purchase Order value per day of delay, up to a maximum of 10%.

3.5 Payment shall be made by electronic funds transfer (EFT) to the vendor's designated bank account within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number (PO-2025-04872). The invoice must itemize all labour hours, parts used, and applicable taxes (GST and PST) as levied in the Canada Vancouver jurisdiction.

3.6 All work performed under this Purchase Order carries a warranty of twelve (12) months or 24,000 kilometres (whichever occurs first) on both parts and Mechanic labour. The vendor shall remedy any warranty claim at no additional cost to the buyer.

3.7 The vendor shall comply with all applicable environmental regulations of the Province of British Columbia and the City of Vancouver regarding the disposal of used oil, fluids, batteries, and hazardous materials generated during the repair process under this Purchase Order.

3.8 This Purchase Order does not constitute a long-term service agreement. Any additional work beyond the scope defined herein shall require a separate written amendment signed by both parties.

NOTE: All vehicles to be serviced under this Purchase Order are registered in the Province of British Columbia and operate within the Canada Vancouver metropolitan area. The Mechanic shall ensure that all repairs meet the requirements of the BC Safety Registration Inspection (SRI) program. A copy of the completed SRI report for each vehicle shall be included with the final invoice. 4. Authorization and Acceptance
