All mechanic work shall be conducted in strict compliance with the national standards of the People's Republic of China, specifically GB/T 18344 (Vehicle Maintenance and Repair Technical Specifications) and the Beijing Municipal Transportation Commission regulations governing commercial vehicle servicing. The Seller warrants that all mechanic technicians assigned to this Purchase Order shall hold valid Chinese automotive repair certifications issued by the Ministry of Human Resources and Social Security of the PRC.

- Service Period: All mechanic services described in this Purchase Order shall be completed within ninety (90) calendar days from the date of acceptance, unless otherwise agreed in writing. The on-site support contract (Item 06) shall remain in effect for a continuous period of twelve (12) months.
- Performance Location: All work shall be performed at the Buyer's facilities located in Chaoyang District, Beijing, China, or at the Seller's certified workshop in Tongzhou District, Beijing, as mutually agreed. No mechanic services shall be subcontracted to entities outside the Beijing municipal jurisdiction without prior written consent from the Buyer.
- Payment Terms: Payment shall be made in Chinese Yuan Renminbi (CNY) via bank transfer to the Seller's designated account at Industrial and Commercial Bank of China (ICBC), Beijing Branch. A 30% advance payment is due upon signing of this Purchase Order. The remaining 70% shall be paid in two equal installments: 50% upon completion of all scheduled mechanic services and 50% upon successful final inspection and acceptance by the Buyer's quality assurance team.
- Warranty: The Seller provides a minimum twelve (12) month warranty on all mechanic labor and parts installed under this Purchase Order. Any defects arising from workmanship or faulty components shall be remedied at the Seller's sole cost within fifteen (15) business days of written notice from the Buyer.
- Compliance and Licensing: The Seller affirms that it holds a valid Class-A Automotive Repair Business License issued by the Beijing Municipal Commission of Transport and that all mechanic personnel are registered with the Beijing Human Resources and Social Security Bureau. The Seller shall maintain all required environmental permits for waste oil disposal and hazardous material handling in accordance with Beijing municipal regulations.
- Intellectual Property and Data: All diagnostic data, vehicle maintenance records, and fleet performance reports generated during the execution of this Purchase Order shall remain the exclusive property of the Buyer. The Seller shall not disclose, replicate, or transmit such data to any third party without express written authorization.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in Beijing, or public health emergencies, provided that the affected party notifies the other in writing within five (5) business days.
- Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the People's Republic of China. Any disputes arising from or in connection with this Purchase Order shall first be resolved through amicable negotiation. Failing resolution within thirty (30) days, the dispute shall be submitted to the Beijing Arbitration Commission for arbitration in accordance with its then-current rules. The arbitration seat shall be Beijing, China, and the award shall be final and binding.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the commercial terms, pricing, and technical specifications contained in this Purchase Order. This obligation shall survive the termination or expiration of this Purchase Order for a period of three (3) years.
By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms, conditions, and specifications set forth in this Purchase Order for the procurement of mechanic services in Beijing, China. This document constitutes a legally binding agreement between the Buyer and the Seller effective from the date of the last signature.
