All prices are quoted in Chinese Yuan (CNY / RMB). Payment shall be processed via bank transfer to the account designated by Shanghai Precision Mechanic Services Ltd. in accordance with PRC foreign trade and domestic commercial regulations.
All mechanic services under this Purchase Order shall be executed at the following locations within China Shanghai:
- Primary Workshop: Shanghai Horizon Automotive Group, 888 Century Avenue, Pudong New Area, Shanghai 200120, China
- Secondary Workshop: Shanghai Precision Mechanic Services Ltd., 156 Yunnan South Road, Huangpu District, Shanghai 200023, China
- On-Site Dispatch Zones: All 16 administrative districts of Shanghai, including but not limited to Pudong, Minhang, Xuhui, Jing'an, Changning, and Baoshan
The Mechanic team shall maintain a minimum response time of 2 hours for emergency dispatches within the Shanghai urban core and 4 hours for suburban and peri-urban locations. All mechanic personnel assigned to this Purchase Order must hold valid PRC-issued automotive mechanic certifications (Level 2 or above) and possess a minimum of five years of documented experience in commercial vehicle maintenance.
- Advance Payment: 30% of the total Purchase Order value (CNY 392,562.00) shall be remitted within 5 business days of mutual signature and acceptance of this document.
- Progress Payment: 40% of the total Purchase Order value (CNY 523,416.00) shall be due upon completion of 60% of all mechanic service line items, verified by a joint inspection report signed by both parties.
- Final Payment: The remaining 30% (CNY 392,562.00) shall be payable within 15 business days following final acceptance, completion of the mechanic training program, and submission of all warranty documentation.
- Payment Method: Bank wire transfer to: Bank of China, Shanghai Pudong Branch. Account Name: Shanghai Precision Mechanic Services Ltd. Account No: 4581-2200-9876-5432. SWIFT: BKCHCNBJ310.
- Late Payment Penalty: A penalty of 0.05% per calendar day shall apply to any overdue amount, in compliance with the Civil Code of the People's Republic of China.
Shanghai Precision Mechanic Services Ltd. guarantees that all mechanic work performed under this Purchase Order shall carry a minimum warranty period of 12 months or 20,000 kilometers (whichever occurs first) from the date of service completion. Any defects attributable to workmanship, improper parts installation, or failure to adhere to manufacturer specifications shall be rectified at no additional cost to the Purchasing Entity. The Mechanic team shall provide detailed service reports, parts invoices, and diagnostic printouts for every vehicle serviced. All replacement parts must be OEM (Original Equipment Manufacturer) or approved equivalent, and must comply with the China Compulsory Certification (CCC) requirements where applicable.
This Purchase Order is governed by and shall be construed in accordance with the laws of the People's Republic of China, including the Civil Code of the PRC, the Contract Law provisions, and all applicable municipal regulations of Shanghai Municipality. The Mechanic service provider shall maintain all necessary business licenses, environmental permits for waste oil and hazardous material disposal, and occupational safety certifications required by the Shanghai Municipal Market Supervision Administration. All mechanic personnel shall be covered under PRC mandatory social insurance (five insurances and one fund) and shall comply with the Labor Law of the People's Republic of China. Disputes arising from this Purchase Order shall be resolved through arbitration at the Shanghai Arbitration Commission (SHAC) in accordance with its then-current rules.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and specifications set forth in this Purchase Order for Mechanic services to be delivered in China Shanghai. This document constitutes a binding commercial agreement effective from the date of the last signature.
