1. Location of Work: All mechanic services described in this Purchase Order shall be carried out at the supplier's certified workshop located at 18 Rue de la Charité, 69002 Lyon, France, or at the buyer's depot at 42 Quai de Serbie, Lyon, as mutually agreed per vehicle. No work shall be subcontracted to a third-party mechanic without prior written approval from the buyer.
2. Qualification of Mechanic Staff: The supplier guarantees that all mechanic work will be performed by technicians holding a valid French CAP (Certificat d'Aptitude Professionnelle) in automotive maintenance or an equivalent qualification recognised by the French Ministry of Transport. The lead mechanic assigned to this contract must hold a minimum of five years of documented experience with commercial diesel vehicles.
3. Compliance with French Regulations: All parts supplied and all mechanic interventions must comply with current French and European automotive regulations, including but not limited to the requirements of the Code de la Route, the European Emissions Standards (Euro 6 for diesel vehicles), and the specific technical inspection (Contrôle Technique) criteria applicable in the Rhône department.
4. Warranty: The supplier provides a minimum 12-month / 20,000 km warranty on all mechanic labour and a 24-month warranty on all replacement parts. Any defect discovered within the warranty period shall be rectified by the supplier's mechanic at no additional cost to the buyer.
5. Delivery & Scheduling: The supplier shall complete all mechanic services listed in this Purchase Order no later than 30 June 2025. A detailed work schedule for each vehicle must be submitted to the buyer's Lyon operations team within five (5) business days of the issue date of this Purchase Order.
6. Payment: Payment of the full amount of €20,908.80 (TTC) shall be made by bank transfer (virement bancaire) within thirty (30) calendar days of receipt of a valid invoice from the supplier. The invoice must reference this Purchase Order number (PO-LYON-2025-04871) and include the supplier's SIRET number.
7. Environmental Disposal: All waste materials generated during the mechanic work (used oil, filters, brake dust, refrigerant gas, and worn parts) must be collected and disposed of in accordance with French environmental regulations (Code de l'Environnement) and the supplier's approved waste management plan for the Lyon area.
8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to strikes in the Lyon transport sector, severe weather affecting the Rhône-Alpes region, or government-mandated closures.
9. Governing Law: This Purchase Order and any disputes arising from it shall be governed by the laws of the French Republic. Any legal proceedings shall be brought before the Tribunal de Commerce de Lyon.
