- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic, specifically the Code civil (Articles 1101–1217) and the Code de commerce applicable to commercial transactions in the Bouches-du-Rhône department, Marseille jurisdiction.
- Scope of Mechanic Work: The supplier, Atelier Mécanique du Vieux-Port SARL, shall perform all mechanic services described in the line items above using qualified, certified technicians. All work shall be carried out at the supplier's workshop located at 8 Rue de la Loge, 13002 Marseille, France, or at the buyer's depot in Zone Franche, 13008 Marseille, as mutually agreed in writing.
- Parts and Materials: All replacement parts must be original equipment manufacturer (OEM) or equivalent-certified components. The mechanic workshop shall provide part numbers, manufacturer references, and warranty documentation for every component installed. No aftermarket or unverified parts shall be used without prior written approval from the buyer.
