- This Purchase Order constitutes a binding agreement between Transports Logistiques Île-de-France SAS and Groupe Mécanique Parisienne SARL for the provision of Mechanic services and associated parts as detailed in Section 3 above.
- All work shall be performed at the Mechanic's workshop located at 28 Avenue de la République, 75011 Paris, France, or at the client's facility within the France Paris metropolitan area, as mutually agreed upon in writing prior to commencement of each task.
- The Mechanic warrants that all services shall be carried out in accordance with the French Code de la Route, applicable European vehicle safety directives, and the manufacturer's recommended maintenance schedules. All work is guaranteed for a period of twelve (12) months or 20,000 kilometres, whichever occurs first.
- Payment shall be made by bank transfer to the account specified in Section 2 within thirty (30) calendar days of the date of this Purchase Order. Late payments shall incur interest at the rate prescribed by Article L441-10 of the French Code de Commerce.
- All parts supplied under this Purchase Order shall be new, original equipment manufacturer (OEM) components, or approved aftermarket equivalents. The Mechanic shall provide part numbers and warranty documentation for all replaced components.
- The Mechanic shall maintain full professional liability insurance (assurance responsabilité civile professionnelle) with a minimum coverage of €5,000,000, valid throughout the France Paris region, for the duration of this contract.
- Any modifications, additions, or cancellations to this Purchase Order must be confirmed in writing by both parties. Verbal instructions given at the France Paris workshop shall not alter the scope of work defined herein.
- In the event of a dispute arising from this Purchase Order, the parties agree to seek amicable resolution first. Failing resolution within thirty (30) days, the matter shall be submitted to the Tribunal de Commerce de Paris, France, which shall have exclusive jurisdiction.
- This Purchase Order is governed by the laws of the French Republic. All communications related to this document shall be conducted in French or English, with the French version prevailing in case of any discrepancy.
- The Mechanic shall comply with all applicable French environmental regulations regarding the disposal of used oils, batteries, brake fluid, and other hazardous materials generated during the performance of services under this Purchase Order in France Paris.
