This Purchase Order is issued by Frankfurt Fleet Solutions GmbH to engage the services of a certified Mechanic and the associated workshop team at Frankfurt Auto Mechanic Services GmbH for the comprehensive maintenance, inspection, and repair of the company's commercial vehicle fleet. All work shall be performed at the vendor's workshop facility located in Germany Frankfurt, specifically at the address listed above, in full compliance with German automotive regulations (StVZO) and the applicable DIN standards. The Mechanic assigned to this contract must hold a valid Meisterbrief (Master Craftsman Certificate) in automotive technology and a minimum of ten (10) years of documented professional experience in commercial vehicle maintenance.

4.1 This Purchase Order constitutes a binding agreement between Frankfurt Fleet Solutions GmbH (hereinafter "Buyer") and Frankfurt Auto Mechanic Services GmbH (hereinafter "Vendor") for the provision of Mechanic services and related automotive parts as described herein.

4.2 All work shall be carried out at the Vendor's certified workshop in Germany Frankfurt. The Buyer's vehicles shall be delivered to and collected from the workshop address specified in Section 1. The Vendor is responsible for safe storage of all vehicles while on-site.

4.3 The assigned Mechanic and all workshop technicians must comply with German occupational safety regulations (Arbeitsschutzgesetz) and environmental disposal requirements for waste oil, batteries, and hazardous materials as governed by the German Federal Immission Control Act (BImSchG).

4.4 All replacement parts must be original equipment manufacturer (OEM) or equivalent-grade components. The Vendor shall provide part numbers, manufacturer references, and warranty documentation for every component installed.

4.5 The Vendor warrants all labour and parts for a minimum period of twelve (12) months or 20,000 kilometres, whichever occurs first, in accordance with German consumer and commercial law (BGB §§ 433–479).

4.6 Payment shall be made via bank transfer (SEPA) to the Vendor's designated account within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number (PO-2025-04871). Late payments shall accrue interest at the statutory rate under § 288 BGB.

4.7 The Vendor shall provide a progress report every five (5) business days until all work is completed. A final acceptance inspection shall be conducted by the Buyer's designated representative at the workshop in Germany Frankfurt prior to vehicle release.

4.8 In the event of force majeure, the Vendor must notify the Buyer in writing within 48 hours. Neither party shall be liable for delays caused by events beyond reasonable control.

4.9 This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.

All completed vehicles shall be made available for collection at the Vendor's workshop in Germany Frankfurt no later than 28 June 2025. The Buyer's fleet manager shall perform a visual and functional acceptance check. Any discrepancies must be reported in writing within five (5) business days of collection. Failure to report within this period shall constitute acceptance of the work performed.
