This Purchase Order is issued by Mumbai Fleet Operations Pvt. Ltd. to engage the services of a qualified and certified Mechanic team for the comprehensive maintenance, repair, and operational support of the company’s commercial vehicle fleet based in India Mumbai. The Mechanic services shall be rendered at the Buyer’s designated workshop premises located in Andheri East, Mumbai, and at such other locations within the Mumbai Metropolitan Region as may be directed by the Buyer in writing. The scope encompasses preventive maintenance, diagnostic troubleshooting, engine overhaul, hydraulic system repair, electrical fault rectification, and emergency roadside assistance for all vehicles registered under the Mumbai Regional Transport Office (RTO).

- Acceptance: This Purchase Order shall become binding upon written acceptance by the Supplier. The Supplier must confirm acceptance in writing within five (5) business days of the date of issue, failing which this Purchase Order shall lapse automatically.
- Qualification of Mechanic Personnel: All Mechanic personnel deployed under this Purchase Order must hold a valid ITI (Industrial Training Institute) certificate in Automobile Engineering or equivalent, and must possess a minimum of five (5) years of hands-on experience in commercial vehicle maintenance. The Supplier shall provide copies of all certifications to the Buyer prior to commencement of work in India Mumbai.
- Compliance with Indian Regulations: All Mechanic services shall be performed in strict compliance with the Motor Vehicles Act, 1988, the Central Motor Vehicles Rules, 1989, and all applicable regulations of the Mumbai Regional Transport Office. The Supplier shall ensure that all repairs and modifications meet the safety standards prescribed by the Government of India.
- Parts and Materials: Unless otherwise specified in a written job order, all spare parts, lubricants, and consumables used by the Mechanic team shall be genuine OEM (Original Equipment Manufacturer) parts. The Supplier shall maintain a minimum 72-hour inventory of critical spares at the Mumbai workshop to ensure minimal vehicle downtime.
- Payment Terms: Payment shall be made within thirty (30) days from the date of receipt of a valid tax invoice by the Buyer. Payment shall be processed via NEFT/RTGS to the Supplier’s designated bank account in India Mumbai. No advance payment shall be made under this Purchase Order.
- Warranty: All Mechanic repair work shall carry a minimum warranty of six (6) months or 10,000 kilometres, whichever is earlier. Any defect arising from workmanship within the warranty period shall be rectified by the Mechanic team at no additional cost to the Buyer.
- Confidentiality: The Supplier and all Mechanic personnel engaged under this Purchase Order shall treat all operational data, fleet records, and proprietary information of the Buyer as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days’ prior written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect any accrued rights or obligations.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns in India Mumbai, or acts of war, provided that the affected party notifies the other within forty-eight (48) hours.
All services under this Purchase Order shall be performed at the Buyer’s primary workshop located at Andheri East, Mumbai, Maharashtra, India, and at such additional sites within the Mumbai Metropolitan Region (including Navi Mumbai, Thane, and Kalyan) as may be required. The Mechanic team shall be available for on-site deployment at the Buyer’s logistics hubs across India Mumbai upon a minimum of four (4) hours’ prior notice.
