Terms and Conditions
- This Purchase Order is issued by PT. Nusantara Auto Service & Mechanic Solutions for the procurement of mechanic equipment, tools, training, and related services to be delivered and installed in Jakarta, Indonesia. All items are intended for use in our automotive mechanic workshop operations.
- The Seller shall deliver all mechanic equipment and materials to the designated delivery address in Jakarta Selatan, DKI Jakarta, Indonesia, no later than 30 June 2025. Late delivery shall incur a penalty of 0.5% of the total order value per calendar day of delay, capped at 5%.
- All mechanic tools and equipment must be new, unused, and in original manufacturer packaging. The Seller guarantees that all items meet the specifications outlined in this Purchase Order and comply with Indonesian national standards (SNI) where applicable.
- Payment shall be made via bank transfer to the Seller's designated account in Indonesia within thirty (30) calendar days from the date of the valid tax invoice (Faktur Pajak) issued in accordance with Indonesian tax regulations.
- The Seller shall provide a minimum warranty of twelve (12) months for all mechanic equipment and tools from the date of successful installation and commissioning in Jakarta. Warranty claims shall be serviced within Jakarta or its immediate metropolitan area (Greater Jakarta / Jabodetabek) within five (5) business days.
- The mechanic training program (Item No. 6) shall be conducted at the Seller's certified training facility in Jakarta, Indonesia, and must cover diagnostic procedures, engine repair, transmission service, and electrical system troubleshooting relevant to vehicles commonly serviced in the Jakarta market.
- All installation and commissioning work for the mechanic equipment shall be performed by qualified technicians from the Seller's team at the Buyer's workshop in Kuningan, Jakarta Selatan. The Buyer shall provide adequate workspace, electrical supply (3-phase, 380V), and access as required.
- This Purchase Order is governed by the laws of the Republic of Indonesia. Any disputes arising from this Purchase Order shall be resolved through the Jakarta District Court (Pengadilan Negeri Jakarta Selatan) or through arbitration at the Indonesian National Board of Arbitration (BANI) in Jakarta.
- The Seller shall provide a complete delivery note (Surat Jalan) and packing list upon delivery in Jakarta. The Buyer's receiving officer shall inspect all mechanic items upon arrival and sign the delivery note. Any visible damage or shortage must be noted on the delivery note at the time of receipt.
- This Purchase Order becomes effective upon signature by both parties. No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both PT. Nusantara Auto Service & Mechanic Solutions and PT. Jakarta Mechanic Equipment & Supply Co.
