1. Scope of Purchase Order – Mechanic Services in Tehran, IranThis Purchase Order is issued by Tehran Industrial Fleet Management Co. (TIFMC) to formally authorize and procure the professional services of a certified Mechanic and associated automotive maintenance personnel from Persian Auto Mechanic Services Ltd. (PAMS). The scope of this Purchase Order covers the full-time engagement of a senior Mechanic, two junior mechanics, and one diagnostic technician to provide ongoing preventive maintenance, corrective repairs, and fleet management support for a fleet of 120 commercial vehicles operated within the greater Tehran, Iran metropolitan area. All services rendered under this Purchase Order shall be performed at the designated service facility located in the Karaj Road Industrial Zone, Tehran, Iran, or at such other locations within Tehran as mutually agreed upon in writing by both parties.

- Payment Terms: Payment for all Mechanic services rendered under this Purchase Order shall be made within 30 days of the end of each calendar month via bank transfer to the account of Persian Auto Mechanic Services Ltd. at Bank Melli, Tehran branch. All amounts are denominated in Iranian Rials (IRR) and are subject to applicable Iranian value-added tax (VAT) at the prevailing rate.
- Service Location: All Mechanic services shall be performed at the PAMS facility on Karaj Road, Tehran, Iran, or at the TIFMC depot located in Valiasr Street, Tehran. Any off-site Mechanic work within the Tehran metropolitan area must be pre-approved in writing by the TIFMC Fleet Manager.
- Qualification Requirements: The lead Mechanic engaged under this Purchase Order must hold a valid Iranian National Automotive Technician Certificate (Grade A), a minimum of 10 years of documented experience in commercial vehicle maintenance, and must be a registered resident of Tehran, Iran. All junior Mechanics must hold at least a Grade B certification.
- Performance Standards: The Mechanic team shall maintain a vehicle uptime rate of no less than 95% for the entire Tehran fleet. Failure to meet this standard for two consecutive months shall entitle TIFMC to issue a formal notice of non-performance and, if unresolved within 15 days, to terminate this Purchase Order without penalty.
- Working Hours: Standard Mechanic working hours shall be 07:00 to 15:00, Monday through Friday, in accordance with the labor regulations of the Islamic Republic of Iran. Emergency call-out services (Item 04) shall be available 24 hours a day, 7 days a week, with a maximum response time of 90 minutes anywhere within Tehran city limits.
- Parts and Materials: All replacement parts used by the Mechanic team shall be OEM (Original Equipment Manufacturer) or approved equivalent parts. The cost of parts is included in the unit prices stated in Section 2 of this Purchase Order unless otherwise specified in a written amendment.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding fleet data, vehicle specifications, and operational details of TIFMC. The Mechanic team shall not disclose any information pertaining to the Tehran fleet to third parties without written consent.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, PAMS shall complete all in-progress Mechanic work and provide a full handover report within 14 days of the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Islamic Republic of Iran. Any disputes arising from this Purchase Order shall be resolved through arbitration in Tehran, Iran, in accordance with the rules of the Tehran International Arbitration Center.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in Tehran, or national emergencies declared by the Government of Iran.
By signing below, both parties acknowledge that they have read, understood, and agreed to all terms, conditions, and specifications set forth in this Purchase Order for Mechanic services to be delivered in Tehran, Iran. This document constitutes a binding agreement effective from the date of the last signature.
