1. SCOPE OF PURCHASE ORDERThis Purchase Order is issued by AutoTech Solutions Ltd., a vehicle maintenance and fleet management company headquartered in Israel Tel Aviv, to Precision Mechanic Services Co. for the provision of comprehensive Mechanic services, specialized automotive parts, and calibrated diagnostic tools. All Mechanic services, parts deliveries, and equipment installations under this Purchase Order shall be performed at the AutoTech Solutions Ltd. primary facility located at 45 Dizengoff Street, Tel Aviv-Yafo, Israel Tel Aviv, and at the secondary depot on 8 Allenby Boulevard, Tel Aviv. The supplier's Mechanic team shall be present on-site no later than 07:00 AM local time on each scheduled service day. All deliveries of parts and tools must be made to the Tel Aviv facility within the timelines specified in Section 5. The supplier acknowledges that all operations under this Purchase Order are subject to the jurisdiction of the State of Israel and the local municipal regulations of the Tel Aviv-Yafo Municipality.
4. QUALIFICATION AND CERTIFICATION REQUIREMENTSThe supplier shall ensure that every Mechanic assigned to this Purchase Order holds a valid Israeli professional license for automotive repair (Class A or B, as issued by the Israel Ministry of Labor, Social Welfare and Social Affairs). Each Mechanic must possess a minimum of five (5) years of documented experience in commercial fleet vehicle maintenance. The supplier shall provide copies of all relevant certifications, insurance policies, and professional liability coverage (minimum 2,000,000 ILS) prior to the commencement of work. The Mechanic team leader must be fluent in Hebrew and English to ensure clear communication with AutoTech Solutions Ltd. staff in Israel Tel Aviv.
5. TIMELINE AND MILESTONES- Phase 1 (Week 1–2): Delivery of all specialized Mechanic tools and diagnostic equipment to the Tel Aviv facility. Initial fleet inspection and condition assessment by the assigned Mechanic team.
- Phase 2 (Week 3–6): Execution of engine overhauls, transmission rebuilds, and braking system replacements. All work to be completed at the Israel Tel Aviv primary site.
- Phase 3 (Week 7–8): Electrical system repairs, suspension alignment, and final quality assurance testing. Comprehensive report to be submitted to the buyer.
- Phase 4 (Ongoing): Monthly on-site Mechanic emergency callout service as per Item 08 of this Purchase Order.
- Payment shall be made in Israeli New Shekels (ILS) via bank transfer to the supplier's designated account in Tel Aviv.
- 30% advance payment upon acceptance of this Purchase Order (within 5 business days).
- 40% upon completion of Phase 2, subject to buyer's written inspection approval.
- 30% upon final completion of all deliverables and submission of the comprehensive Mechanic service report.
- Monthly retainer payments for the emergency callout service shall be due on the 1st of each month.
- All invoices must reference this Purchase Order number (PO-2025-TLV-0487) and include the supplier's Israeli VAT registration number.
- This Purchase Order is governed by the laws of the State of Israel. Any disputes shall be resolved by the competent courts in Tel Aviv, Israel.
- The supplier warrants that all parts supplied under this Purchase Order are genuine OEM or approved equivalent, with a minimum 24-month warranty.
- The Mechanic services shall be performed in strict compliance with all applicable Israeli environmental regulations, including proper disposal of used oils, fluids, and hazardous materials as mandated by the Israel Protection Authority.
- Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the buyer shall pay for all services rendered and parts delivered up to the termination date.
- The supplier shall maintain full professional liability insurance and workers' compensation coverage for all Mechanic personnel operating in Israel Tel Aviv throughout the duration of this Purchase Order.
- Confidentiality: All vehicle data, fleet information, and operational details shared under this Purchase Order shall be treated as strictly confidential and shall not be disclosed to third parties without written consent.
