- Scope and Authority: This Purchase Order constitutes a binding request for the provision of Mechanic services as described herein. The Seller acknowledges receipt of this Purchase Order and agrees to perform all listed Mechanic tasks in accordance with the specifications, timelines, and quality standards set forth in this document.
- Service Location: All Mechanic work shall be performed at the Seller's certified workshop located in Japan Kyoto (Higashiyama-ku) or at the Buyer's fleet depot in Nakagyo-ku, Japan Kyoto, as directed by the Buyer's operations manager. No Mechanic service shall be subcontracted to a location outside the Japan Kyoto prefecture without prior written consent.
- Qualification Requirements: The primary Mechanic assigned to this Purchase Order must hold a valid Japanese Automotive Technician License (Level 1 or above) and possess a minimum of eight (8) years of documented experience in commercial vehicle maintenance. All assisting Mechanic technicians must hold at least a Level 2 certification.
- Compliance with Japan Kyoto Regulations: All Mechanic services rendered under this Purchase Order must comply with the Japan Kyoto Prefectural Vehicle Inspection Standards, the National Road Traffic Act of Japan, and all applicable environmental regulations governing emissions and waste disposal within Japan Kyoto.
- Timeline: The Seller shall complete all scheduled Mechanic maintenance tasks within forty-five (45) calendar days from the date of this Purchase Order. The 24/7 emergency Mechanic callout service shall commence within five (5) business days of Purchase Order acceptance.
- Payment: Payment shall be made in Japanese Yen (JPY) via bank transfer within thirty (30) days of receipt of a valid invoice referencing this Purchase Order number. A 1.5% late payment penalty shall apply per week of delay.
- Warranty: All Mechanic work performed under this Purchase Order carries a minimum warranty period of twelve (12) months or 20,000 kilometers, whichever occurs first. Any defect attributable to the Mechanic's workmanship shall be remediated at no additional cost to the Buyer.

The Seller assumes full responsibility for any damage to the Buyer's vehicles resulting from negligent Mechanic practice.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan, with jurisdiction vested in the Kyoto District Court, Japan Kyoto.
