All prices are quoted in Japanese Yen (JPY) and are inclusive of standard mechanic labor rates applicable in the Osaka metropolitan area. Consumable parts are subject to a 5% variance based on actual usage during the service period.
5.1 Service Location: All mechanic services under this Purchase Order shall be performed at the Kansai Automotive Holdings K.K. logistics facility located at 7-22-1 Nishi-Nakatsu, Nishi-ku, Osaka 557-0041, Japan, unless otherwise directed in writing by the Purchasing Manager. Mobile mechanic response units shall cover the entire Osaka city boundary, including the wards of Kita-ku, Chuo-ku, Nishi-ku, Suminoe-ku, and Minato-ku.
5.2 Service Period: The mechanic engagement period commences on June 20, 2025, and concludes on September 19, 2025 (a period of three calendar months). The vendor shall assign a minimum of four (4) certified mechanics, each holding a valid Japanese Automotive Technician License (自動車整備士) at Grade 1 or Grade 2, to fulfill the obligations under this Purchase Order.
5.3 Payment Terms: Payment shall be made via bank transfer (振込) to the vendor's designated account at Sumitomo Mitsui Trust Bank, Osaka Main Branch, within thirty (30) days of receipt of a valid invoice (請求書) accompanied by completed service reports. Late payments shall accrue interest at the statutory rate of 1.5% per annum as governed by the Japanese Late Payment of Compensation Act (支払遅延損害金).
5.4 Quality Assurance: All mechanic work shall conform to the Japanese Industrial Standards (JIS) for automotive repair and maintenance. The vendor warrants that all services performed under this Purchase Order shall be free from defects in workmanship for a period of ninety (90) days from the date of completion. Any mechanical failure attributable to the vendor's work within this warranty period shall be rectified at no additional cost.
5.5 Regulatory Compliance: The vendor acknowledges that all mechanic services performed in Osaka, Japan, must comply with the Road Traffic Vehicle Act (道路運送車両法), the Osaka Prefectural Environmental Standards for Vehicle Emissions, and the Safety Standards Inspection (車検) requirements administered by the Osaka City Transport Bureau. The vendor shall maintain all necessary business licenses, including the Automotive Repair Business License (自動車修理業許可), and shall provide copies upon request.
5.6 Insurance: The vendor shall maintain comprehensive liability insurance with a minimum coverage of 100,000,000 JPY per occurrence, as well as workers' compensation insurance (労災保険) for all assigned mechanics, in accordance with Japanese labor law. Certificates of insurance shall be provided prior to the commencement of services.
5.7 Cancellation: Either party may cancel this Purchase Order with a written notice of fourteen (14) days. In the event of cancellation by the Purchasing party after services have commenced, the vendor shall be compensated for all mechanic labor and parts already expended, up to a maximum of 50% of the remaining contract value.
5.8 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the Osaka District Court (大阪地方裁判所).
