All Mechanic services under this Purchase Order shall be performed at the buyer's designated facilities within Japan Tokyo, primarily at the Shinjuku Central Depot (3-14-1 Nishi-Shinjuku, Shinjuku-ku) and the Ota Secondary Workshop (1-2-8 Oimachi, Ota-ku). The Mechanic provider is responsible for transporting all parts, tools, and equipment to the Japan Tokyo service locations. Emergency Mechanic call-out services must be available 24/7 across all 23 special wards of Japan Tokyo, with a guaranteed response time of no more than 90 minutes from the time of request.
4. Payment Terms- Payment Method: Bank transfer to the Mechanic provider's designated account at Mizuho Bank, Shinjuku Branch, Japan Tokyo.
- Payment Schedule: 30% advance payment upon acceptance of this Purchase Order; 40% upon completion of all Mechanic diagnostic and repair work (Items 01–05); 30% upon final delivery of parts (Item 06) and completion of Shaken preparation (Item 08).
- Payment Due Date: Net 30 days from the date of invoice issuance. Late payments shall incur a penalty of 1.5% per month as stipulated under Japan commercial law.
- Currency: All amounts are denominated in Japanese Yen (JPY). No foreign currency conversion shall apply to this Purchase Order.
- 5.1 This Purchase Order is governed by the laws of Japan. Any disputes arising from the execution of this Purchase Order shall be subject to the exclusive jurisdiction of the Tokyo District Court, Japan Tokyo.
- 5.2 The Mechanic provider warrants that all services will be performed by qualified Mechanic technicians with a minimum of five years of experience in commercial vehicle maintenance. All Mechanic work is covered by a 12-month / 20,000 km warranty, whichever comes first.
- 5.3 The Mechanic provider shall maintain full liability insurance (minimum 100 million JPY) and workers' compensation coverage for all personnel operating within Japan Tokyo premises during the execution of this Purchase Order.
- 5.4 All Mechanic parts and components supplied under this Purchase Order must be new, OEM-equivalent, or better. Used or refurbished parts are strictly prohibited unless explicitly approved in writing by the buyer's senior Mechanic supervisor.
- 5.5 The Mechanic provider shall submit a detailed service report for each vehicle, including diagnostic findings, parts used, labor hours, and Mechanic technician signatures, within 48 hours of completing work on any given vehicle.
