- Scope of Work: The Supplier, acting as the designated Mechanic service provider, shall perform all mechanic services and supply all automotive parts as detailed in the line items above. All work shall be carried out in accordance with the manufacturer's specifications and the regulatory standards set by the Kuwait Ministry of Transport and the Kuwait Kuwait City municipal authorities.
- Qualification of Mechanic Personnel: All Mechanic technicians assigned to this Purchase Order must hold valid Kuwaiti professional certification issued by the Ministry of Commerce and Industry. The lead Mechanic must possess a minimum of ten (10) years of experience in commercial fleet maintenance. The Supplier shall provide copies of all relevant certifications prior to commencement of work.
- Delivery and Performance Location: All services under this Purchase Order shall be performed at the Supplier's workshop located in Al Salmiya Industrial Zone, Kuwait, Kuwait City, or at the Buyer's depot as specified. Any parts not in stock must be sourced and delivered within five (5) business days to the designated location in Kuwait City.
- Warranty: The Supplier warrants that all mechanic work performed under this Purchase Order shall be free from defects in workmanship for a period of twelve (12) months or 20,000 kilometers, whichever occurs first. All replacement parts carry the manufacturer's standard warranty. The Mechanic service warranty is non-transferable and applies only to the original fleet vehicles registered in Kuwait.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice. Payment shall be made via bank transfer to the Supplier's account at National Bank of Kuwait, Kuwait City branch. The Buyer reserves the right to withhold payment for any work not completed to the satisfaction of the Buyer's technical supervisor.
- Compliance with Kuwaiti Law: This Purchase Order is governed by and shall be interpreted in accordance with the laws of the State of Kuwait. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Kuwait City. Both parties agree to attempt amicable resolution before initiating legal proceedings.
- Health, Safety, and Environment: The Supplier's Mechanic team shall comply with all occupational health and safety regulations in Kuwait. All hazardous materials (engine oil, coolant, refrigerants) shall be disposed of in accordance with Kuwait Environmental Protection Authority (KEPA) guidelines. Work in the Kuwait City area must observe all local noise and emission regulations.
- Confidentiality: The Supplier acknowledges that fleet vehicle data, route information, and operational schedules shared during the execution of this Purchase Order are confidential. The Mechanic service provider shall not disclose any proprietary information of the Buyer to third parties without written consent.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest in Kuwait. The affected party must notify the other within forty-eight (48) hours of the occurrence.
- Amendments: Any modification to this Purchase Order, including changes to the scope of Mechanic services, quantities, or delivery schedules in Kuwait City, must be documented in a written amendment signed by authorized representatives of both parties.
