- Acceptance: This Purchase Order constitutes a binding agreement between AutoCare Auckland Workshop Ltd. and South Pacific Automotive Parts & Mechanic Supply Co. upon written acceptance by both parties. The supplier must confirm acceptance of this Purchase Order within five (5) business days of the date of issue.
- Delivery: All goods and Mechanic services referenced in this Purchase Order must be delivered to the Buyer's workshop in Penrose, Auckland, New Zealand, no later than 26 June 2025. Late delivery beyond the specified date will incur a penalty of 1.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
- Quality Assurance: All automotive parts supplied under this Purchase Order must be new, unused, and in original manufacturer packaging. The Mechanic services must be performed in accordance with the manufacturer's service manual specifications and New Zealand roadworthiness standards. Any defective parts must be replaced at the supplier's cost within fourteen (14) days of notification.
- Payment: Payment of the full Purchase Order total of NZD 15,326.25 (inclusive of 15% GST) shall be made within thirty (30) calendar days of the date of the supplier's invoice, via bank transfer to the account details provided on the invoice. The Buyer reserves the right to withhold payment for any disputed line items pending resolution.
- Warranty: All parts supplied carry a minimum twelve (12) month manufacturer's warranty. The Mechanic labour component is warranted for ninety (90) days from the date of service completion. The supplier shall provide written warranty documentation with each delivery to the Auckland workshop.
- Compliance: The supplier warrants that all goods and services comply with the New Zealand Consumer Guarantees Act 1993, the Fair Trading Act 1986, and all applicable Auckland Council bylaws regarding workshop operations and environmental disposal of automotive fluids and waste.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through good-faith negotiation between the parties. If unresolved within thirty (30) days, the matter shall be referred to mediation under the New Zealand Disputes Tribunal or, failing that, to the District Court at Auckland.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand, specifically the Auckland region of the North Island.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or supply chain disruptions affecting the New Zealand automotive parts market.
- Confidentiality: Both parties agree to maintain the confidentiality of pricing, technical specifications, and commercial terms contained in this Purchase Order and shall not disclose such information to third parties without prior written consent.
