1. Description of Purchase Order ScopeThis Purchase Order is issued by Al-Madina Fleet Management Services (Pvt.) - Scope of Mechanic Services: The supplier shall assign a minimum team of six (6) qualified Mechanic technicians, each holding a valid trade license issued by the Sindh Directorate of Technical Education, to execute all services outlined in this Purchase Order. The lead Mechanic shall possess a minimum of ten (10) years of documented experience in commercial vehicle repair within Pakistan Karachi.
- Quality Standards: All Mechanic work shall be performed in strict accordance with the manufacturer's service manuals and the quality benchmarks established by the Pakistan Automotive Industry Council. Any repair that does not meet the stipulated quality threshold shall be re-executed at no additional cost to the buyer.
- Timeline and Milestones: The supplier shall complete the initial diagnostic phase within seven (7) working days of the service commencement date. Full engine overhauls shall be completed within twenty-one (21) days per vehicle. The quarterly lubrication cycles shall be executed on the 1st, 61st, 91st, and 121st days of each quarter.
- Payment Terms: Payment against this Purchase Order shall be made in three (3) installments: thirty percent (30%) upon acceptance of the Purchase Order and commencement of work, forty percent (40%) upon completion of all major repair milestones, and the remaining thirty percent (30%) upon final inspection sign-off by the buyer's technical team in Pakistan Karachi. Payments shall be processed via bank transfer to the supplier's designated account at HBL, Karachi Main Branch.
- Warranty: The supplier warrants all Mechanic repairs and replaced components for a period of six (6) months or fifty thousand (50,000) kilometers, whichever occurs first. Any defect arising within the warranty period shall be rectified at the supplier's sole expense.
- Compliance and Licensing: The supplier confirms that it holds a valid trade license, a current Sales Tax Registration Certificate (STRN) issued by the Sindh Board of Revenue, and all necessary permits to operate a Mechanic workshop in Pakistan Karachi. The supplier shall maintain comprehensive liability insurance covering a minimum of PKR 50,000,000 for the duration of this Purchase Order.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved through arbitration in accordance with the Arbitration Act, 1940, with the seat of arbitration fixed in Pakistan Karachi. The language of arbitration shall be English.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns in Pakistan Karachi, or acts of war.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms, pricing, and operational details contained in this Purchase Order. No information shall be disclosed to third parties without prior written consent.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, with specific reference to the Sindh provincial regulations applicable to commercial vehicle maintenance in Pakistan Karachi.
