3.1 This Purchase Order constitutes a binding agreement between TransLogistika Moscow LLC and AvtoMekhanika Severnaya JSC for the provision of mechanic services and supply of automotive parts as described herein. All work shall be performed at the supplier's certified workshop located at 18 Leningradsky Prospekt, Moscow, or at the buyer's designated depot in the Moscow region, as mutually agreed upon in writing.

3.2 The mechanic personnel assigned to this contract must hold valid Russian Federation certifications in automotive repair (Category A or B per FSTEC standards) and possess a minimum of five (5) years of documented experience working on commercial and heavy-duty vehicles. All mechanic work shall be supervised by a lead mechanic with senior qualification.

3.3 Payment terms: 40% advance payment within five (5) business days of Purchase Order acceptance; 60% balance payment within ten (10) business days following completion of all services and submission of a final mechanic inspection report signed by the Chief Mechanic. Payment shall be made via bank transfer to the supplier's account in Russian Rubles (RUB) in accordance with the Civil Code of the Russian Federation.

3.4 All mechanic services and parts supplied under this Purchase Order carry a warranty period of twelve (12) months or 30,000 kilometers, whichever occurs first, in compliance with Russian consumer protection legislation (Federal Law No. 2300-1).

3.5 The supplier guarantees that all work will be completed within Moscow city boundaries and the immediate Moscow Oblast. Any mechanic dispatch outside this geographic scope requires prior written approval from the buyer and may incur additional travel charges at a rate of 150 RUB per kilometer.

3.6 In the event of non-compliance, defective work, or failure to meet the required delivery date, the buyer reserves the right to withhold payment, demand re-performance of the mechanic service at the supplier's expense, or terminate this Purchase Order with a penalty of 0.1% of the total contract value per day of delay, in accordance with Article 330 of the Civil Code of the Russian Federation.

3.7 This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Russian Federation. Any disputes arising from this document shall be resolved through the Arbitration Court of the City of Moscow.

3.8 All documentation, including mechanic service reports, parts invoices, and warranty certificates, shall be issued in both Russian and English to facilitate the buyer's international reporting requirements.
