- This Purchase Order is issued in accordance with the commercial laws of the Kingdom of Saudi Arabia and the regulations governing service contracts in Jeddah, Makkah Province. All parties acknowledge jurisdiction under the Jeddah Commercial Court.
- The Supplier, Jeddah Precision Mechanic & Auto Care LLC, warrants that all Mechanic personnel assigned to this contract hold valid Saudi Arabian professional licenses, trade permits, and are registered with the Ministry of Human Resources and Social Development (HRSD) in Saudi Arabia.
- All mechanic work shall comply with the Saudi Standards, Metrology and Quality Organization (SASO) standards and the Saudi Arabian General Authority for Statistics (GASTAT) reporting requirements applicable to the automotive sector in Jeddah.
- The Supplier shall provide a detailed weekly progress report to the Purchasing Party, detailing the status of each Mechanic task, parts consumed, and any deviations from the original scope outlined in this Purchase Order.
- Payment shall be processed in Saudi Riyal (SAR) via bank transfer to the Supplier's designated account in a Saudi Arabian commercial bank. Late payments shall incur a penalty of 1.5% per month as per Saudi commercial practice.
- The Supplier shall maintain comprehensive third-party liability insurance and professional indemnity insurance with a minimum coverage of SAR 5,000,000, valid throughout the service period in Jeddah, Saudi Arabia.
- Any modification, addition, or cancellation of line items in this Purchase Order must be documented in a written amendment signed by both parties. Verbal agreements regarding Mechanic services are not binding.
- The Supplier guarantees a minimum 12-month warranty on all repair work performed by its Mechanic team. Warranty claims must be submitted in writing within 30 days of defect discovery.
- Both parties agree to resolve any disputes arising from this Purchase Order through amicable negotiation first, followed by mediation under the Saudi Center for Commercial Arbitration (SCCA) in Jeddah, if negotiation fails within 30 days.
- This Purchase Order becomes effective upon signature by both authorized representatives and remains valid until full completion of all listed Mechanic services or the expiration date, whichever comes first.
