3. SCOPE OF MECHANIC SERVICES AND LINE ITEMS

This Purchase Order is issued to engage the services of the above-referenced mechanic workshop for the comprehensive maintenance, repair, and servicing of STLS's fleet of twelve (12) commercial trucks operating on the Dakar–Thiès and Dakar–Saint-Louis corridors. The mechanic services shall be performed in accordance with the manufacturer's specifications and the regulatory standards set forth by the Direction des Transports of Senegal.

4. TERMS AND CONDITIONS

Place of Performance: All mechanic services and repairs shall be carried out at the supplier's workshop located in the Zone Industrielle de Ngor, Dakar, Senegal, unless otherwise agreed in writing. Mobile mechanic services may be dispatched to STLS's depot on Boulevard du Général De Gaulle, Plateau, Dakar, at no additional cost.
Timeline: The mechanic workshop shall commence work within three (3) business days of the acceptance of this Purchase Order. All services must be completed no later than 28 June 2025. Delays exceeding five (5) business days shall incur a penalty of 0.5% of the total contract value per day of delay.
Quality Standards: All mechanic work shall conform to the technical specifications of the vehicle manufacturers and the safety regulations enforced by the Direction des Transports of the Republic of Senegal. All replaced parts must be genuine or OEM-equivalent, with a minimum warranty of twelve (12) months.
Payment Terms: Payment shall be made in three installments: 30% upon signing and acceptance of this Purchase Order, 50% upon completion of 70% of the mechanic services (verified by joint inspection), and 20% upon final acceptance and delivery of the completed vehicles. Payment shall be made via bank transfer to the supplier's account at Société Générale Sénégal, Dakar branch.
Warranty: The mechanic workshop guarantees all labor and parts for a period of twelve (12) months or 50,000 kilometers, whichever occurs first. Any defect arising from the mechanic work performed under this Purchase Order shall be rectified at no additional cost to STLS.
Regulatory Compliance: The supplier shall ensure that all work complies with the labor laws of Senegal, including the Code du Travail, and that all mechanic personnel are properly licensed and insured. The workshop must hold a valid operating license issued by the Mairie de Dakar.
Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to the competent commercial court of Dakar, Senegal, in accordance with the applicable provisions of the Senegalese Code de Commerce.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or port strikes affecting the supply of spare parts in Dakar.
Confidentiality: Both parties agree to maintain the confidentiality of all technical data, fleet information, and commercial terms disclosed in connection with this Purchase Order.
