This Purchase Order is issued by Meridian Automotive Holdings Pte. Ltd. to engage the services of Precision Mechanic & Engineering Services Pte. Ltd. for the provision of comprehensive Mechanic services, including but not limited to vehicle diagnostics, engine overhaul, transmission repair, brake system replacement, and scheduled preventive maintenance for a fleet of forty-two (42) commercial vehicles. All Mechanic work shall be carried out at the designated workshop facility located in Singapore Singapore, in full compliance with the safety and environmental standards mandated by the authorities of Singapore Singapore.

All Mechanic services outlined in this Purchase Order shall be completed within a period of thirty (30) calendar days from the date of acceptance of this Purchase Order. The Mechanic service provider shall coordinate with the Buyer's fleet operations team to schedule vehicle access at the workshop in Singapore Singapore. Partial deliveries of completed Mechanic work on individual vehicles are permitted, provided that a written progress report is submitted to the Buyer every ten (10) days.

Payment for this Purchase Order shall be made in Singapore Dollars (SGD) via bank transfer to the account designated by the Mechanic service provider. The Buyer shall remit sixty percent (60%) of the total Purchase Order value as an advance payment within seven (7) working days of the Purchase Order acceptance. The remaining forty percent (40%) shall be due within fourteen (14) working days following the successful completion and sign-off of all Mechanic services. Late payments shall attract interest at the rate of 1.5% per month, in accordance with the commercial practices in Singapore Singapore.

This Purchase Order is governed by and shall be construed in accordance with the laws of Singapore Singapore. Any disputes arising from this Purchase Order shall be resolved through arbitration in Singapore Singapore under the rules of the Singapore International Arbitration Centre (SIAC).
The Mechanic service provider warrants that all work performed under this Purchase Order shall be carried out by qualified and licensed Mechanic personnel registered in Singapore Singapore. All parts used shall be genuine OEM or approved equivalent components.
The Mechanic service provider shall maintain full public liability insurance coverage of no less than SGD 5,000,000 for the duration of the work covered by this Purchase Order.
All waste materials generated during the Mechanic services, including used oil, filters, and hazardous substances, shall be disposed of in strict compliance with the environmental regulations of Singapore Singapore administered by the National Environment Agency (NEA).
The Buyer reserves the right to inspect the Mechanic work at any stage. Any work found to be substandard shall be rectified at no additional cost to the Buyer within five (5) working days.
This Purchase Order shall not be construed as a long-term contract. Each subsequent engagement for Mechanic services shall require the issuance of a new Purchase Order.
Confidentiality: Both parties agree to treat all information exchanged under this Purchase Order as confidential and shall not disclose it to third parties without prior written consent, in accordance with the Personal Data Protection Act of Singapore Singapore.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government directives in Singapore Singapore, or pandemics.

By signing below, both parties acknowledge and accept all terms, conditions, and line items specified in this Purchase Order. This Purchase Order becomes effective upon the signature of both the authorized representative of the Buyer and the authorized representative of the Mechanic service provider.
