All mechanic services outlined in this Purchase Order shall be performed at the designated service facility located at 42, Gangnam-daero 93-gil, Gangnam-gu, Seoul, South Korea, or at the on-site locations within the Seoul metropolitan area as specified by the Buyer. The vendor's mechanic team must be present and operational no later than June 20, 2025, and all scheduled services must be completed within a thirty (30) calendar day window from the commencement date. Any work performed outside the Seoul city limits within South Korea will require prior written approval from the Buyer's procurement department.
Terms and Conditions- Acceptance: This Purchase Order becomes binding upon written acceptance by Seoul Precision Mechanic & Engineering Services Co., Ltd. within five (5) business days of the issue date. Failure to respond within this period shall be interpreted as acceptance of all terms herein.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice and completion of all mechanic services. Payment will be processed via bank transfer to the vendor's registered account in South Korea. All amounts are denominated in Korean Won (KRW) and are subject to the applicable 10% Value Added Tax (VAT) as mandated by the National Tax Service of South Korea.
- Quality Standards: All mechanic work must comply with the Korean Automotive Standards (KAS) and the manufacturer's recommended service specifications. The assigned mechanic must hold a valid Korean Automotive Technician Certification (Level 2 or above) issued by the Ministry of Trade, Industry and Energy of South Korea.
- Warranty: The vendor shall provide a minimum twelve (12) month warranty on all mechanic labor and parts installed under this Purchase Order. Any defects discovered within the warranty period in Seoul or elsewhere in South Korea shall be remedied at no additional cost to the Buyer.
- Compliance: The vendor and all assigned mechanic personnel must adhere to the Occupational Safety and Health Act of South Korea, the Environmental Protection Act, and all local Seoul municipal regulations regarding hazardous waste disposal, emissions testing, and workshop safety protocols.
- Confidentiality: All vehicle data, fleet information, and operational details shared under this Purchase Order are classified as confidential. The vendor's mechanic team shall sign individual Non-Disclosure Agreements prior to commencing any work in Seoul, South Korea.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Buyer shall pay for all mechanic services completed and accepted up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising from this document shall be resolved through the Seoul District Court or by arbitration under the rules of the Korean Commercial Arbitration Board (KCAB).
