1. This Purchase Order is issued by Garaje Mecánico Valencia S.L., a registered mechanic workshop operating in Valencia, Spain, and constitutes a binding offer to purchase the goods and services listed herein upon acceptance by the supplier.
2. All items are to be delivered to the receiving address specified above in Valencia, Spain. The supplier bears all risk of loss or damage until the goods are physically received and signed for at our mechanic workshop premises.
3. Payment shall be made via direct bank transfer (SEPA) to the supplier's designated account within thirty (30) calendar days of the date of a valid, correctly issued invoice. Late payments shall accrue interest at the rate established under Spanish Royal Decree-Law 4/2013 on measures to combat late payment in commercial transactions.
4. All mechanical parts and components must comply with applicable European Union regulations, including CE marking where required, and Spanish Royal Decree 1609/2012 on vehicle parts and accessories. The supplier warrants that all items are new, genuine, and free from defects in material and workmanship for a minimum period of twelve (12) months from the date of delivery.
5. The supplier shall provide a detailed packing list and commercial invoice with each delivery. Any discrepancy between the Purchase Order line items and the delivered goods must be reported to our workshop manager within forty-eight (48) hours of receipt.
6. Partial deliveries are not permitted unless expressly agreed in writing by both parties. The entire order must be fulfilled by the required delivery date of 28 June 2025 to avoid disruption to our mechanic service schedule in Valencia.
7. This Purchase Order is governed by the laws of Spain, and any disputes arising from its interpretation or execution shall be subject to the exclusive jurisdiction of the courts of Valencia, Spain.
8. The supplier acknowledges that the goods are procured for use in a professional mechanic workshop environment and must meet the quality and safety standards expected by automotive technicians performing vehicle maintenance, repair, and diagnostic work in the Valencia region.
9. Any modification to this Purchase Order, including changes to quantities, specifications, delivery dates, or pricing, must be documented in a written amendment signed by both parties before it becomes effective.
10. This document is valid for acceptance until 21 June 2025. After this date, the Purchase Order shall be considered void unless reissued.
