All prices are quoted in Swiss Francs (CHF). VAT is applied at the standard Swiss rate of 7.7% as per the Federal Tax Administration of Switzerland. This Purchase Order is governed by the Swiss Code of Obligations (OR).
TERMS AND CONDITIONS1. Scope of Work: This Purchase Order authorizes Mechanic Precision Services GmbH to perform all mechanic services and supply all listed parts for the vehicles of Zurich Automotive Fleet Management AG. All mechanic work shall be carried out in accordance with Swiss automotive industry standards and the specifications outlined in this document. The Mechanic assigned to this contract must hold a valid Swiss Federal Certificate of Competence in automotive mechanics.
2. Service Location: All mechanic services shall be performed at the supplier's workshop located at Industriestrasse 27, 8005 Zurich, Switzerland, unless otherwise specified for on-site services at the buyer's premises in Zurich. The Mechanic and all support staff must comply with local Zurich municipal regulations regarding workshop operations, waste disposal, and environmental protection as mandated by the Canton of Zurich.
3. Quality Assurance: All parts supplied under this Purchase Order must be new, OEM-equivalent, or better. The Mechanic is required to provide a minimum 24-month warranty on all labour and 12-month warranty on all parts, in compliance with Swiss consumer protection law (CO Art. 197 ff.). Any defects discovered within the warranty period shall be remedied by the Mechanic at no additional cost to the buyer.
4. Payment Terms: Payment shall be made via bank transfer to the supplier's account within 30 days of receipt of a valid invoice. The invoice must reference this Purchase Order number (CH-ZH-2025-004871) and include the supplier's Swiss VAT registration number. Late payments shall incur interest at the Swiss statutory rate of 5% per annum.
5. Cancellation and Modification: This Purchase Order may be modified or cancelled in writing by either party with a minimum of 14 days' notice. In the event of cancellation after work has commenced, the buyer shall compensate the Mechanic for all labour and parts already procured, up to a maximum of 50% of the total Purchase Order value.
6. Compliance and Insurance: The supplier (Mechanic Precision Services GmbH) must maintain valid professional liability insurance with a minimum coverage of CHF 5,000,000 and comply with all applicable Swiss federal and cantonal regulations, including the Swiss Road Traffic Act (SVG) and environmental directives of the Canton of Zurich. The Mechanic must carry valid professional indemnity insurance as required by Swiss law.
7. Governing Law and Jurisdiction: This Purchase Order is governed by the laws of Switzerland. Any disputes arising from this Purchase Order shall be resolved by the competent courts in Zurich, Switzerland. Both parties agree to attempt mediation before initiating legal proceedings, in accordance with Swiss arbitration practice.
8. Data Protection: All personal data processed in connection with this Purchase Order shall be handled in accordance with the Swiss Federal Act on Data Protection (FADP/DSP). The Mechanic and all personnel shall not disclose any proprietary information of the buyer to third parties without written consent.
