- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, including the Thai Civil and Commercial Code and the Road Traffic Act B.E. 2522 (1979) as amended. Any disputes arising from this Purchase Order related to mechanic services performed in Bangkok shall be subject to the exclusive jurisdiction of the Bangkok Metropolitan Court.
- Mechanic Qualifications: All mechanic personnel assigned to this Purchase Order must hold valid certifications issued by the Thai Department of Land Transport or the Thai Automotive Institute. The vendor shall provide copies of all mechanic certifications prior to commencement of work. The lead mechanic for engine and transmission work must possess a minimum of ten (10) years of documented experience in the Bangkok automotive industry.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid Thai Tax Invoice (Fap Tur) issued by the vendor. Payment shall be made via bank transfer to the vendor's registered account in Bangkok. The total amount of this Purchase Order is THB 764,548.50 (Seven Hundred Sixty-Four Thousand Five Hundred Forty-Eight Baht and Fifty Satang), inclusive of 7% Value Added Tax as required by the Thai Revenue Department.
- Delivery and Performance: All mechanic services and parts referenced in this Purchase Order must be delivered and completed at the buyer's workshop located at 1288 Sukhumvit Road, Khlong Toei, Bangkok 10110, Thailand, no later than 28 June 2025. The vendor is responsible for transporting all parts and equipment to the Bangkok delivery location. Any delay beyond the specified delivery date shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
- Warranty: All mechanic labour and parts supplied under this Purchase Order carry a minimum warranty of twelve (12) months or 20,000 kilometres (whichever occurs first), in compliance with the Thai Consumer Protection Act B.E. 2522 (1979). The vendor shall rectify any defects in mechanic workmanship or parts at no additional cost to the buyer within the warranty period.
- Compliance with Thai Regulations: All mechanic work performed under this Purchase Order in Bangkok must comply with the standards set by the Thai Department of Land Transport, the Thai Industrial Standards Institute (TISI), and applicable environmental regulations of the Bangkok Metropolitan Administration (BMA). The vendor shall ensure proper disposal of hazardous materials (engine oil, coolant, refrigerants, batteries) in accordance with Thai environmental law.
- Insurance: The vendor shall maintain comprehensive motor vehicle insurance and professional indemnity insurance with a minimum coverage of THB 5,000,000 for all mechanic operations conducted in Bangkok. Certificates of insurance shall be provided to the buyer upon request.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Bangkok, or acts of war, provided that the affected party notifies the other in writing within five (5) business days.
- Confidentiality: All technical data, vehicle records, and business information exchanged under this Purchase Order between the buyer and the mechanic service provider in Thailand Bangkok shall be treated as confidential and shall not be disclosed to third parties without prior written consent.
- Amendments: Any amendments or modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements regarding mechanic services or parts substitutions are not binding.
