1. This Purchase Order constitutes a binding agreement between South Florida Auto Fleet Management LLC (hereinafter "Buyer") and Miami Precision Mechanic & Automotive Solutions Inc. (hereinafter "Supplier") for the provision of professional Mechanic services and associated automotive parts as itemized above.
2. All Mechanic work shall be performed at the Supplier's facility located in United States Miami, specifically at 1875 SW 8th Street, Hialeah, Miami, Florida 33014, unless otherwise agreed in writing by both parties. The Buyer shall be responsible for transporting fleet vehicles to and from the Mechanic shop.
3. The Supplier guarantees that all work performed by its Mechanic team shall comply with all applicable federal, state, and local regulations governing automotive repair in the State of Florida and the United States Miami metropolitan area. All parts used shall be OEM or OEM-equivalent unless the Buyer specifies otherwise in writing.
4. Payment terms: Net 30 days from the date of invoice issuance. The Buyer shall remit payment via ACH transfer to the Supplier's designated bank account. Late payments shall incur a 1.5% monthly interest charge as permitted under Florida Statute 559.71.
5. The Mechanic service provider shall deliver a detailed written report for each vehicle serviced, including diagnostic findings, parts replaced (with part numbers), labor hours, and any recommended future maintenance. These reports shall be submitted electronically within 48 hours of service completion.
6. All workmanship is covered by a 12-month / 12,000-mile warranty from the date of service completion. Parts are covered by the manufacturer's standard warranty. Any warranty claims must be submitted in writing to the Supplier within the warranty period.
7. This Purchase Order is governed by the laws of the State of Florida, United States. Any disputes arising from this agreement shall be resolved through binding arbitration in United States Miami, Dade County, in accordance with the rules of the American Arbitration Association.
8. The Supplier shall maintain valid commercial general liability insurance of no less than $2,000,000 per occurrence and shall provide a certificate of insurance upon request. All Mechanic technicians performing work under this Purchase Order must hold current ASE certifications and valid Florida state licenses.
9. Either party may terminate this Purchase Order with 14 days' written notice. In the event of early termination, the Buyer shall pay for all services and parts already delivered and completed by the Mechanic team.

All Mechanic services listed in this Purchase Order shall be completed no later than June 30, 2025. The Supplier shall provide a daily progress update to the Buyer's fleet coordinator.
