- Scope of Work: The Mechanic services described herein shall be performed in strict accordance with California Department of Motor Vehicles (DMV) regulations, San Francisco Municipal Code Chapter 19 (Vehicles and Traffic), and all applicable United States federal transportation safety standards. The vendor's lead Mechanic must hold a valid California Class A Commercial Driver's License and ASE Master Mechanic certification.
- Performance Standards: All Mechanic work shall be completed to OEM specifications. The vendor guarantees a minimum of twelve (12) months or 50,000 miles (whichever occurs first) warranty on all labor and parts installed under this Purchase Order.
- Location of Services: All primary Mechanic services shall be rendered at the vendor's facility in San Francisco, California, United States, or at the buyer's premises at 1450 Market Street, San Francisco. Emergency dispatch services under Item 007 shall cover all of San Francisco County, including the Bay Bridge corridor and the I-280/I-80 interchange zones.
- Payment Schedule: The buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice. Payment shall be made via ACH transfer to the vendor's designated bank account in the United States. Late payments shall accrue interest at 1.5% per month as permitted under California Commercial Code Section 2304.
- Insurance Requirements: The vendor shall maintain, at its own expense, commercial general liability insurance of no less than $2,000,000 per occurrence, workers' compensation insurance as required by the State of California, and professional liability (errors and omissions) coverage of $1,000,000. Certificates of insurance naming Golden Gate Fleet Management, Inc. as additional insured must be provided prior to commencement of any Mechanic work.
- Compliance: The vendor certifies that it is in full compliance with all United States federal, California state, and San Francisco municipal labor laws, including but not limited to the California Labor Code, the San Francisco Fair Chance Ordinance, and the Equal Employment Opportunity provisions of Title VII of the Civil Rights Act.
- Confidentiality: All fleet data, vehicle identification numbers, operational schedules, and proprietary information disclosed to the Mechanic service provider under this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent from the buyer.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the buyer shall pay for all Mechanic services satisfactorily completed through the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising hereunder shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.
