This Purchase Order is issued by Tashkent Industrial Logistics LLC to formally engage the services of a certified Mechanic and associated automotive maintenance team provided by AutoMech Tashkent Service Center. The Mechanic engagement is required to support the company's fleet of 34 commercial vehicles operating across Tashkent and the surrounding regions of Uzbekistan. The services described in this Purchase Order shall be performed at the buyer's designated facility located in Tashkent, Uzbekistan, and at such other locations within Uzbekistan as mutually agreed upon in writing.
The Mechanic assigned under this Purchase Order must hold a valid professional certification recognized by the Ministry of Transport of the Republic of Uzbekistan and possess a minimum of eight (8) years of documented experience in commercial vehicle diagnostics, engine repair, hydraulic system maintenance, and preventive servicing. The Mechanic shall be available on-site in Tashkent, Uzbekistan, for a minimum of 22 working days per month, with emergency call-out availability within four (4) hours for critical fleet breakdowns occurring anywhere in the Tashkent metropolitan area.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Uzbekistan and all applicable regulations of the Ministry of Transport of Uzbekistan. Any disputes arising from this Purchase Order shall be resolved through the Tashkent City Commercial Court located in Tashkent, Uzbekistan.
- Mechanic Qualification: The supplier guarantees that the Mechanic assigned to this Purchase Order shall maintain all required professional certifications throughout the contract period. The buyer reserves the right to request a replacement Mechanic with equivalent or superior qualifications upon thirty (30) days' written notice if performance standards are not met.
- Service Location: All services under this Purchase Order shall be primarily performed at the buyer's facility in Tashkent, Uzbekistan. Mobile Mechanic services for emergency call-outs shall cover the entire Tashkent metropolitan area and the Tashkent Region (viloyat) of Uzbekistan.
- Payment Schedule: Payment shall be made in monthly installments of UZS 39,088,000 (inclusive of VAT) within thirty (30) days of receipt of a valid invoice from AutoMech Tashkent Service Center. Payments shall be transferred via bank wire to the supplier's account at a licensed commercial bank operating in Tashkent, Uzbekistan.
- Warranty: All repair work performed by the Mechanic under this Purchase Order carries a minimum warranty period of ninety (90) days or 10,000 kilometers of vehicle operation, whichever occurs first. Parts supplied under Item 04 carry the manufacturer's standard warranty as applicable in Uzbekistan.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding fleet data, vehicle specifications, operational schedules, and any proprietary information exchanged in connection with this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach by the supplier, including failure to provide a qualified Mechanic or repeated failure to meet the 4-hour emergency response time in Tashkent, the buyer may terminate immediately upon written notice.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or civil unrest affecting Tashkent, Uzbekistan.
- Compliance: The supplier and the assigned Mechanic shall comply with all labor laws, occupational health and safety regulations, and environmental standards in force in the Republic of Uzbekistan at the time of service delivery.
By signing below, both parties acknowledge and accept all terms, conditions, pricing, and service specifications outlined in this Purchase Order for Mechanic services in Tashkent, Uzbekistan. This document constitutes a binding agreement upon execution by authorized representatives of both parties.
