Terms and Conditions
- This Purchase Order constitutes a binding agreement between Caracas Auto Fleet Management, C.A. (hereinafter "Buyer") and Taller Mecánico del Este, C.A. (hereinafter "Seller") for the provision of Mechanic services and automotive parts as itemized above.
- All Mechanic work shall be performed by certified and licensed technicians employed by the Seller. The Seller warrants that all Mechanic labor meets or exceeds the manufacturer's specifications for each vehicle model serviced.
- Delivery of all parts, completed vehicles, and diagnostic reports shall be made to the Buyer's facility located at Av. Francisco de Miranda, Torre Empresarial, Piso 12, Chacao, Venezuela Caracas, 1060, no later than the Required Delivery Date stated above.
- Payment shall be made within thirty (30) calendar days from the date of invoice receipt, via bank transfer to the Seller's designated account in the Central Bank of Venezuela (BCV) or through an approved international wire in US Dollars, subject to applicable Venezuelan foreign exchange regulations.
- The Seller shall provide a written warranty of twelve (12) months or twenty thousand (20,000) kilometers, whichever comes first, on all Mechanic labor and parts installed under this Purchase Order.
- All work performed under this Purchase Order shall comply with the current regulations of the Instituto Nacional de Transporte Terrestre (INTT) and the municipal traffic authority of Venezuela Caracas.
- In the event of any dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, the matter shall be submitted to arbitration under the rules of the Chamber of Commerce of Venezuela Caracas.
- The Seller shall maintain adequate liability insurance covering all Mechanic operations, vehicle damage, and third-party claims incurred during the execution of this Purchase Order within the Venezuela Caracas metropolitan area.
- Any modifications, additions, or cancellations to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements shall not be binding.
- This Purchase Order is governed by the laws of the Bolivarian Republic of Venezuela, and the courts of Venezuela Caracas shall have exclusive jurisdiction in any legal proceedings not resolved by arbitration.
