- Delivery and Service Location: All mechanic services and parts deliveries under this Purchase Order shall be performed at the buyer's designated facility located in District 7, Vietnam Ho Chi Minh City, or at the Mechanic workshop premises as mutually agreed in writing.
- Payment Terms: Payment shall be made within 30 calendar days from the date of the final invoice issued upon completion of all mechanic services listed in this Purchase Order. Payment shall be via bank transfer to the account specified above.
- Warranty: The Mechanic service provider guarantees all labor and parts for a minimum period of 12 months or 20,000 kilometers, whichever comes first, in accordance with Vietnamese consumer protection law.
- Quality Standards: All parts supplied under this Purchase Order must be genuine OEM or approved aftermarket components. The Mechanic workshop must maintain ISO 9001:2015 certification for quality management throughout the service period.
- Compliance: All work performed under this Purchase Order must comply with the regulations of the Vietnam Ministry of Transport and local Vietnam Ho Chi Minh City traffic authority requirements for commercial vehicle operation.
- Penalties for Delay: In the event the Mechanic service provider fails to complete the work within the agreed timeline, a penalty of 0.5% of the total Purchase Order value per day of delay shall apply, up to a maximum of 10%.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through negotiation. If unresolved, matters shall be submitted to the Vietnam Ho Chi Minh City Arbitration Center for binding arbitration under Vietnamese law.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government mandates, or events beyond reasonable control, provided written notice is given within 48 hours.
- Validity: This Purchase Order is valid for 30 days from the date of issue. The Mechanic service provider must confirm acceptance in writing within 5 business days.
