The scope encompasses all engineering deliverables, site inspections, technical documentation, and on-site supervision required to complete the project within the stipulated timeline. The Mechanical Engineer engaged under this Purchase Order shall possess a minimum of ten (10) years of professional experience in industrial mechanical systems, with demonstrated competency in high-altitude and arid-climate engineering conditions specific to the Afghanistan Kabul region.

- Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Islamic Emirate of Afghanistan. All disputes arising from this Purchase Order shall be resolved through arbitration in Afghanistan Kabul under the rules of the Kabul Chamber of Commerce and Industry.
- Delivery and Performance: All services and deliverables specified in this Purchase Order shall be completed at the designated project site in Afghanistan Kabul within ninety (90) calendar days from the date of acceptance. The Mechanical Engineer shall report to the KIDA project office no later than 08:00 AM Kabul Standard Time on each working day.
- Payment Terms: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon completion of design and installation milestones, and 30% upon final commissioning and acceptance. All payments shall be processed via bank transfer to the supplier's account in Kabul, Afghanistan. Payment currency shall be Afghan Afghani (AFN) unless otherwise agreed in writing.
- Quality Standards: The Mechanical Engineer shall ensure all work complies with international mechanical engineering standards (ISO 9001, ASME, and applicable Afghan national building and industrial codes). All components procured for Afghanistan Kabul operations must carry valid manufacturer certifications and be free from defects.
- Insurance and Liability: The supplier shall maintain comprehensive professional liability insurance and workers' compensation coverage for all personnel operating in Afghanistan Kabul for the duration of this Purchase Order. The supplier assumes full responsibility for any damage to property or injury to persons arising from the performance of mechanical engineering services.
- Intellectual Property: All designs, calculations, CAD files, and technical documentation produced under this Purchase Order shall become the exclusive property of KIDA upon full payment. The Mechanical Engineer and CAMEC shall not reproduce, distribute, or utilize such materials for any other project without prior written consent.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, civil unrest, government sanctions, or pandemics affecting Afghanistan Kabul. The affected party shall notify the other in writing within forty-eight (48) hours of the occurrence.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Mechanical Engineer shall be compensated for all work completed and materials procured up to the date of termination, subject to verification by KIDA.
- Compliance: The supplier and the Mechanical Engineer shall comply with all applicable Afghan labor laws, environmental regulations, and safety standards in force in Afghanistan Kabul at the time of performance.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Mechanical Engineer and associated services in Afghanistan Kabul. This document constitutes a binding procurement agreement between the parties.
