This Purchase Order is issued by Industrias Metalúrgicas del Centro S.A. (hereinafter referred to as "the Buyer") to engage the services of Ing. Marcos E. Gutiérrez, a duly licensed Mechanical Engineer registered with the Professional Association of Engineers of Córdoba (hereinafter referred to as "the Provider"), to perform specialized mechanical engineering consultancy and technical oversight at the Buyer's industrial facility located in Argentina Córdoba. The Mechanical Engineer shall be responsible for the design review, performance optimization, and maintenance planning of all rotating and stationary mechanical equipment within the plant premises situated in the Parque Industrial Córdoba zone.

- Validity: This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. Failure to confirm acceptance within this period shall render this document null and void.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice issuance, via electronic bank transfer (transferencia bancaria) to the account designated by the Mechanical Engineer. All payments are subject to the withholding obligations established by the Argentine Federal Administration of Public Revenue (AFIP) for services rendered in the Province of Córdoba.
- Performance Period: The services described in Items 01 through 03 shall be completed within ninety (90) calendar days from the effective date of this Purchase Order. The retainer service (Item 04) shall commence on the first day of the month following acceptance and continue for six (6) consecutive months.
- Professional Liability: The Mechanical Engineer shall maintain a valid professional liability insurance policy (seguro de responsabilidad profesional) with a minimum coverage of ARS 50,000,000, as required for engineering services in Argentina Córdoba. Proof of coverage must be submitted prior to commencement of work.
- Regulatory Compliance: All engineering deliverables must comply with the technical regulations of the Province of Córdoba, the national Argentine standards (IRAM), and any applicable municipal ordinances of the City of Córdoba. The Mechanical Engineer warrants that all designs, calculations, and reports shall be stamped and signed in accordance with the professional registration requirements of the Córdoba provincial engineering board.
- Intellectual Property: All technical drawings, calculations, reports, and documentation produced under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Mechanical Engineer retains the right to reference the project in a professional portfolio, subject to the Buyer's prior written consent regarding confidential specifications.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the Argentina Córdoba region, government-mandated shutdowns, or supply chain disruptions declared by Argentine federal or provincial authorities.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through binding arbitration seated in the City of Córdoba, Province of Córdoba, Argentina, in accordance with the rules of the Argentine Chamber of Commerce of Córdoba. The governing law shall be the Civil and Commercial Code of the Argentine Nation.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Mechanical Engineer for all services rendered and materials procured up to the effective date of termination.
- Confidentiality: The Mechanical Engineer agrees to maintain strict confidentiality regarding all proprietary processes, trade secrets, and operational data of the Buyer encountered during the performance of services at the Argentina Córdoba facility. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Mechanical Engineer to perform professional services at the industrial facility located in Argentina Córdoba. This document constitutes a binding agreement between the parties upon execution by both authorized representatives.
