The Mechanical Engineer shall hold a valid Engineering Registration with Engineers Australia (EA) and possess a minimum of ten (10) years of post-qualification experience in industrial mechanical systems. The Mechanical Engineer shall commence all services no later than 1 July 2025 and complete all deliverables by 30 September 2025. All on-site work shall be conducted at the buyer's premises in Australia Melbourne during standard business hours (08:00–17:00 AEST). Milestone deliverables are as follows: (a) Preliminary design package by 15 July 2025; (b) Detailed engineering drawings and calculations by 15 August 2025; (c) Site commissioning and final as-built documentation by 30 September 2025.
Payment shall be made in accordance with the following schedule: 30% advance payment upon acceptance of this Purchase Order; 40% upon delivery of the detailed engineering package; and 30% upon final acceptance of all commissioning documentation. All invoices shall be submitted to the buyer's accounts payable department in Australia Melbourne and shall be paid within thirty (30) calendar days of receipt of a valid tax invoice. Payment shall be made via electronic funds transfer (EFT) to the supplier's nominated bank account in Australia.
- This Purchase Order is governed by the laws of the State of Victoria, Australia, and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Australia Melbourne.
- The Mechanical Engineer engaged under this Purchase Order shall maintain professional indemnity insurance with a minimum coverage of AUD 10,000,000 and public liability insurance of AUD 20,000,000 throughout the duration of the engagement.
- All work product, including but not limited to drawings, calculations, reports, and digital files, shall become the sole intellectual property of Meridian Industrial Systems Pty Ltd upon full payment.
- The supplier shall ensure that the Mechanical Engineer complies with all occupational health and safety (OHS) regulations applicable in Australia Melbourne, including the Occupational Health and Safety Act 2004 (Vic).
- Any variation to the scope of work must be agreed in writing by both parties prior to commencement. Variations exceeding 10% of the total Purchase Order value require a formal amendment to this document.
- The supplier warrants that all engineering services shall be performed in a professional and workmanlike manner, in compliance with AS/NZS 1668 (Ventilation and Air-Conditioning of Buildings) and AS 1200 (General Conditions of Contract for Construction) as applicable.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged in connection with this Purchase Order. This obligation shall survive termination for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the buyer shall pay for all services rendered up to the date of termination.
- This Purchase Order does not constitute a guarantee of employment. The Mechanical Engineer is engaged as an independent contractor and not as an employee of the buyer.
