This Purchase Order is issued by Harbour City Infrastructure Group Pty Ltd (hereinafter referred to as the "Purchaser") to Precision Mechanical Solutions (Aust) Pty Ltd (hereinafter referred to as the "Supplier") for the engagement of a qualified Mechanical Engineer and associated professional services in connection with the design, analysis, and commissioning of mechanical systems for the Sydney Metro Extension Project, Stage 3. All work shall be performed in accordance with Australian Standards (AS/NZS), the Building Code of Australia, and all applicable regulations within Australia Sydney and the state of New South Wales.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia. All disputes arising from this Purchase Order shall be resolved in the courts of Australia Sydney or by arbitration under the rules of the Australian Disputes Centre, Sydney.
- Qualifications of the Mechanical Engineer: The Supplier warrants that the Mechanical Engineer assigned to this Purchase Order holds a minimum of a Bachelor of Engineering (Mechanical) degree accredited by Engineers Australia, is a Chartered Professional Engineer (CPEng), and maintains a valid Professional Indemnity Insurance policy of no less than AUD $10,000,000 per occurrence. The Mechanical Engineer must be registered with the NSW Engineers Registration Board.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Supplier. Invoices shall be submitted to the Purchaser's accounts payable department at the Australia Sydney office. Late payments shall attract interest at the rate prescribed under the Australian Consumer Law.
- Delivery and Performance: All deliverables specified in this Purchase Order must be completed by the dates indicated in the line items table. The Mechanical Engineer shall provide a detailed project schedule within five (5) business days of acceptance of this Purchase Order. Failure to meet milestones may result in liquidated damages of AUD $1,500 per calendar day of delay, up to a maximum of 10% of the total contract value.
- Intellectual Property: All designs, drawings, calculations, reports, and documentation produced by the Mechanical Engineer under this Purchase Order shall become the sole property of the Purchaser upon full payment. The Supplier retains the right to use generic methodologies and standard engineering practices not specific to this project.
- Compliance and Standards: All mechanical engineering work shall comply with the Building Code of Australia (BCA), Australian Standards (AS/NZS), the Environmental Planning and Assessment Act 1979 (NSW), and all local council regulations applicable in Australia Sydney. The Mechanical Engineer shall ensure all designs meet the relevant AS 1668, AS 3770, AS 4100, AS 1288, and AS 1851 requirements.
- Health, Safety, and Environment (HSE): The Supplier and the Mechanical Engineer shall comply with the Work Health and Safety Act 2011 (NSW) and all site-specific HSE plans. A valid White Card and site-specific induction are mandatory before commencing any on-site work in Australia Sydney.
- Warranty: The Supplier provides a twelve (12) month warranty on all design deliverables from the date of final acceptance. Any design defects identified within this period shall be rectified by the Mechanical Engineer at no additional cost to the Purchaser.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Purchaser shall pay for all services rendered and materials procured up to the date of termination, as certified by the Mechanical Engineer's progress reports.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the Australia Sydney region, government-imposed restrictions, or acts of God, provided that the affected party notifies the other within forty-eight (48) hours.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding agreement for the provision of Mechanical Engineering services in Australia Sydney as described herein.
